AirStrip Technologies is seeking an Assistant General Counsel to join our Shared Services group. The Assistant General Counsel is an integral member of the Legal Department. A successful candidate is a legal generalist, with a strong background in drafting and negotiating agreements (particularly commercial, software licensing, SaaS and services agreements), including experience in the healthcare and/or life sciences industries. Reporting directly to our Chief Legal Officer, you'll join our established team and collaborate regularly with our other attorneys to ensure deadlines are met and goals achieved. The position offers the flexibility of working remotely within the United States. While regular travel is not expected, this position may require periodic travel to the company’s offices in Dallas, Texas and Los Angeles, California, and other periodic travel, as needed. Responsibilities include, but are not limited to: Draft, review and negotiate complex agreements, including commercial, software licensing, SaaS and services agreements in a healthcare, healthcare information technology (HIT) and HIT medical device environment. Manage complex technology transactions from inception to closure. Assist in overseeing and improving the company’s contract management policies and procedures. Ensure compliance with the company’s procurement and contracting policies and procedures, and collaborate with the Contracts Manager to provide related guidance and training to business teams. Collaborate with the Privacy Officer and other members of the Legal Department to meet HIPAA privacy, HIPAA security and other compliance requirements. Cultivate strong relationships with business teams to help ensure that the company’s legal support needs are addressed in a timely and efficient manner. Collaborate with business teams to efficiently move transactions to closure. Manage and assist with additional transactional, corporate, compliance and other matters, as needed. Education & Experience Requirements: A J.D. from an accredited U.S. law school (or the equivalent); high degree of academic achievement. Licensed to practice law in one or more U.S. states. At least 10 years of law firm and/or corporate legal department experience, with a preference for someone having prior in-house legal experience. Experience drafting and negotiating complex agreements in a healthcare, healthcare IT and/or life sciences environment, with a good understanding of technology and HIPAA privacy and security requirements. Experience with healthcare information technology (HIT) transactions; experience with HIT medical devices is a plus. Required Knowledge, Skills, and Abilities: Exceptional attention to detail, organizational skills and judgment. Ability to effectively independently handle multiple tasksin a fast-paced environment and respond quickly and efficiently to business needs. Excellent verbal and written skills. Ability to think strategically, effectively engage in-house clients, and give well organized, thoughtful presentations. The salary range for applicable US-based applicants to th is position is below. The specific rate will depend on the successful candidate’s qualifications, prior experience as well as geographic location. $170,000 - $210,000 base salary plus bonus potential.
