Drata is looking for a Commercial Counsel to join its Legal Department reporting to the SVP, Legal with a heavy focus on commercial (sales and procurement) and privacy matters. You will provide legal support to stakeholders at all levels while planning and implementing operational processes, platforms and tools to scale and shape the legal function. We have one open headcount and will be hiring for this role on either the East Coast or in the UK to support teams across those time zones. Ability to identify and manage risk and to provide practical, results-oriented legal advice that helps the company achieve its business objectives A pragmatic execution-oriented transactional lawyer who can promptly solve day-to-day commercial contracting issues and highlight any key or novel risks that arise. Clear communicator who can simplify, organize, and deliver information and advise in a way others can understand and act upon Strategic thinking with exceptional organizational skills and desire to create and grow the Company’s legal function Client focused and sensible approach to handling complex legal issues Self-Starter who is ready to work in a fast-paced start-up environment Excellent negotiating skills, keen analytical abilities, a pragmatic approach to problem solving, as well as a track record of success in handling complex business and legal issues in a fast-paced, agile and evolving technology-driven business environment What you’ll do: Draft, review and negotiate a variety of agreements including but not limited to commercial transactions, SAs, DPAs, NDAs, and other commercial matters with domestic and international parties including clients, partners, and vendors Assist in management and maintenance of company’s standard contract templates and playbooks that streamline the contracting process, reduce friction with customer, while mitigating risk for the company Ensure compliance with security and privacy regulations and standards, securities regulations, corporate governance requirements and other relevant legal and statutory requirements Proactively address evolving regulatory and governance compliance environment, including changes in laws, regulations, regulatory focus areas and industry best practices Provide oversight and leadership for all legal needs of the business, advising across business function Experience and Qualifications: 5+ years of experience (in house or law firm), 3+ years of relevant SaaS commercial experience Proven success working effectively across business units and internal functions to efficiently resolve complex business and risk management issues while considering many non-legal variables, such as culture, brand, communications, government relations, tax, revenue recognition, insurance, finance and other functional areas. Experience negotiating B2B SaaS, specifically in software security and compliance Experience working in a start-up atmosphere is highly desirable Prior Experience building out and leading in-house legal teams that are committed to strategic differentiation and high quality execution Proficient with G-Suite (Gmail, Google Docs, etc), DocuSign, Slack Working knowledge of scalable a contract database solution, and general working knowledge of finance invoicing systems, and project management software High technical proficiency and critical thinking skills to ensure we're thoughtfully challenging ourselves in the design of our internal systems Product counseling, privacy, and cybersecurity experience or interest is a plus How we support you: At Drata, our people are our strongest advantage—and we prove it with support that exceeds industry standards. This role will receive a competitive base salary, benefits, and stock, typically in the form of Restricted Stock Units (RSUs). The applicable salary range for each US-based role is based on where the employee works and is aligned to one of 3 tiers based on the cost of labor for that geographic area. The expected OTE ranges for this role are set forth below, subject to change. US: Tier 1: $180,000- $222,600 Tier 2: $162,000 - $200,550 Tier 3: $145,000 - $178,500 UK: No tiers: £110,500 - £136,500 You can view which tier applies to where you plan to work here . A variety of factors are considered when determining someone’s leveling and compensation–including a candidate’s professional background and experience. These ranges may be modified in the future and final offer amounts may vary from the amounts listed above.
