Apply Description Job Summary The General Counsel and Executive Vice President is responsible for providing advice and counsel on a variety of ChartSpan legal and business aspects to include, but not limited to, policy, employment, contracts and procurement, corporate matters and commercial transactions. In addition, the General Counsel and Executive Vice President will be responsible for building and maintaining a culture that combines the highest standards of integrity with responsive, practical approaches to furthering the work of ChartSpan. The role also advises on legal and regulatory matters arising from ChartSpan’s expansion into remote patient monitoring, connected health data, chronic condition management, mergers and acquisitions, and enterprise health-system partnerships. Essential Duties Ensure all privacy practices adhere to regulatory and compliance standards Identify potential areas of privacy and security vulnerability and advise on risk avoidance and mitigation Develop and implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid similar situations in the future Help in establishing and maintaining an effective and fully compliant internal control system with federal, state, and local statutes and regulations Anticipate and guard against legal risks facing the company Identify, analyze, and report on important legislative and regulatory developments Provide legal counsel on issues arising from actual or anticipated lawsuits, and to prevent future ones Develop and recommend company policy and position on legal issues Conduct and coordinate research into a variety of legal issues Represent ChartSpan, as appropriate, in various legal proceedings Write, review, and edit reports, opinions, correspondence, contracts, and other legal documents Write and administer complex vendors, client, and employment contracts as needed Respond to government investigations and queries as the principal point of contact Manage external counsel and general litigation; provide input on the decision whether to send matters to outside council and assist in the oversight of outside counsel as necessary Maintain requisite knowledge and skill of Medicare compliance, stay abreast of changes in the law and engage in continuing study and education Function as a strategic business advisor for all issues related to Medicare and HIPAA Compliance Lead legal due diligence, deal structuring, and post-closing integration for mergers, acquisitions, and technology partnerships Advise on regulatory and compliance risk associated with remote patient monitoring, connected medical devices, and health data platforms Oversee program compliance related to Medicare chronic care management and remote patient monitoring Negotiate and manage enterprise agreements with health systems, hospital associations, and payer-adjacent partners Report to and advise the Board of Directors on legal, governance, and enterprise risk matters Other duties as assigned. Requirements Requirements Successfully completed a full course of study in a school of law accredited by the American Bar Assoc. (ABA) and possess the first professional law degree, LLB or JD Must currently be a member in good standing of the bar of any state in the United States Ten or more years of professional legal experience acquired after admission to the bar commensurate with the duties and responsibilities of the position Prior leadership as in-house counsel required Experience in developing and implementing internal compliance policies and procedures Experience working with the board of directors and board committees required Experience leading legal due diligence, structuring, and integration for mergers, acquisitions, and technology or data-platform partnerships Experience: 10 year(s) of relevant experience required Specific Knowledge Requirements: Strong knowledge of labor/employment law Knowledge of laws and regulations regarding Medicare Knowledge of state and federal data privacy laws applicable to healthcare licensure, connected medical devices, remote patient monitoring, and consumer health data Knowledge of Medicare programs and OIG billing compliance program guidance Experience negotiating technology, data-licensing, and digital health agreements, including software-as-a-medical-device considerations Ability to think creatively, from a legal perspective, on matters such as business strategy and plans to be compliant with legal and regulatory requirements Ability to maintain the integrity of the company’s reputation with the public, regulatory authorities, and business clients Proven skills and abilities in results achievement, goal-driven, decision making, good judgment, problem resolution, research and writing, and litigation Extensive written, verbal, and interpersonal communication skills Possess initiative as well as analytical, organizational, and planning skills Physical Requirements This position requires the following physical activities with or without accommodation. Must be able to remain in a stationary position 50% of the time. Frequent communication with others, requiring the exchange of accurate information. Work Environment This a remote work position with moderate travel Salary Description 250,000.00
