IIX has mobilized over USD 1.5 billion in capital commitments, listed seven Orange Bonds on the Singapore Exchange, and built a global ecosystem connecting institutional capital with gender and climate outcomes across Asia, the Pacific, and Africa. IIX is currently establishing a new closed-end blended climate debt fund targeting emerging markets across Southeast Asia and the Pacific. The fund deploys capital across green and blue economy sectors through a blended capital structure that combines senior, mezzanine, and concessional tranches. IIX is seeking a senior fund structuring advisor to lead the design and documentation of the fund’s legal and economic architecture ahead of first close. Engagement Overview Engagement type Consulting engagement — independent contractor Commitment 3 days per week Duration 6 months from commencement, with option to extend Location Remote, with periodic travel to Singapore for key milestones Reports to Chief Investment Officer Start date As soon as possible — engagement is the critical path to first close PURPOSE OF ENGAGEMENT IIX is seeking a senior fund structuring specialist to lead the design and execution of the fund’s legal architecture, blended finance structure, and LP-facing documentation. Working alongside the CIO and senior investment team, the advisor will finalize fund economics, design blended-finance tranches, structure the credit-guarantee facility, and establish the investor documentation foundation ahead of first close. SCOPE OF WORK Fund Structure & Legal Architecture Lead design, create financial models of the fund structure under Singapore’s Variable Capital Company (VCC) framework, in coordination with external fund counsel Structure sub-fund architecture, investor segregation, and legal obligations under the VCC Act 2018 Structure side letter provisions and investor-specific accommodation mechanisms for anchor LPs Work on MAS licensing requirements and ongoing regulatory compliance obligations for the fund manager Blended Finance Tranche Design Design the fund’s capital stack across senior, mezzanine, and subordinate tranches Structure blended finance leverage mechanics targeting the fund’s commercial-to-concessional capital ratio Create necessary warrant structures and their legal treatment within the fund at first close Design DFI concessional tranche mechanics — first-loss, guarantee, and subordinated structures Create financial model withl waterfall economics, carried interest, hurdle rates, and management fee structures Credit Enhancement & Guarantee Facility Design the fund’s credit guarantee facility for local bank on-lending to target SMEs in focus markets Structure Partial Credit Guarantee (PCG) mechanisms, first-loss provisions, and trigger events Work with the legal team on guarantee documentation and local bank counterparty agreements across focus markets Liaise with potential DFI guarantors on guarantee co-structuring and pricing Fund Economics & Investor Terms Develop fund economics model covering IRR scenarios, LP return projections, and leverage analysis Create impact-linked loan terms — sustainability-linked interest rate adjustments tied to gender and climate KPIs Review and advise on LP subscription mechanics, capital call schedule, and deployment timeline Support preparation of the Private Placement Memorandum (PPM) and related investor disclosure documents LP & DFI Engagement Support Support the CIO and Head of Investor Relations in LP due diligence processes relating to fund structure questions Prepare fund structure summaries and technical FAQs for LP due diligence teams Knowledge Transfer Actively transfer blended finance structuring knowledge to designated internal investment team members throughout the engagement Produce structured documentation of fund mechanics, waterfall models, and structuring decisions for IIX’s internal knowledge base Support upskilling of the investment team on closed-end fund operations and blended finance instrument design WHAT WE’RE LOOKING FOR Required Experience Minimum 12 years in fund structuring, blended finance, or development finance with debt focus — ideally across emerging market closed-end funds Experience in developing and structuring debt funds. Direct experience structuring closed-end funds under Singapore VCC, Cayman LP, or equivalent jurisdictions Demonstrated experience designing PCG and first-loss mechanisms with DFI counterparties Track record creating blended finance structures with concessional capital and commercial LP co-investment Deep familiarity with LPA drafting, side letter mechanics, and fund governance documentation Experience engaging with DFI LPs (IFC, ADB, DFC, DFAT, FMO, Norfund, or equivalent) on fund structuring Educational track record of MBA, MA (International Relations or Public Policy), or JD from reputable universities. Preferred Experience Prior experience with gender-lens or climate-focused impact funds, sustainability-linked instruments, or ICMA-aligned bond structures Familiarity with MAS regulations and Singapore’s VCC framework Regional knowledge of Southeast Asia and the Pacific Islands Lived in South East Asia or the Pacific Islands Personal Attributes Highly collaborative — comfortable working as an embedded advisor within a lean, mission-driven team Able to translate complex fund mechanics into clear, LP-facing materials Comfortable leading a junior team member on a parallel analytical workstream Aligned with IIX’s mission of mobilizing capital for gender equity and climate resilience Will be open to learning IIX’s impact measurement and Orange Bond work.
