ABOUT BYGEN:
Bygen is an Australian cleantech company commercialising a proprietary low-temperature
activation process that produces activated carbon from sustainable biomass feedstocks. Bygen is
moving from technology development into commercial deployment, working with customers and
partners in Australia and internationally.
ROLE OVERVIEW:
Bygen is moving from a technology story to a commercial one. The volume and complexity of our
customer-facing agreements - term sheets, supply contracts, licensing arrangements and cross-
border dealings - has grown beyond a model where commercial positions are settled by the team
and only tested once they reach external counsel. By then they have usually hardened. This role
brings commercial legal judgement into the business earlier, before that point.
This is not a sole general counsel role, and it does not replace our external counsel, who continue
to handle specialist and heavy transactional work. It is the commercial first line, and the interface
between the business and its advisers.
KEY RESPONSIBILITIES:
Commercial legal, first line. Reviewing and negotiating customer term sheets, customer
agreements and activated carbon supply contracts. Working alongside the commercial team to
shape positions before documents are exchanged, and giving clear, practical recommendations on
where to hold and where to concede.
Standard-form suite and playbook. Building and maintaining Bygen's template agreements and
negotiation parameters, so recurring issues are resolved once rather than re-argued deal by deal.
This is a defined priority in the early part of the engagement.
External counsel management. Scoping and briefing external counsel, triaging what needs
specialist input and what can be handled internally, and helping manage external legal spend.
Governance and company secretarial support. Preparing Board and committee papers, minutes
and resolutions; maintaining statutory registers and attending to regulatory filings; supporting the
policy framework; and helping ensure compliance with the company's shareholder, financing and
constitutional arrangements.
QUALIFICATIONS & EXPERIENCE:
Essential
• Admitted to practice in Australia, with a current or readily reinstatable practising
certificate.
• Solid corporate and commercial grounding, gained at a quality practice (mid-tier or better)
and / or in-house.
• Sound commercial judgement: the ability to identify what matters, set aside what does
not, and give a clear recommendation rather than a list of risks.
• Comfort working with autonomy and limited supervision in a small team.
Desirable
• Cross-border commercial experience.
• Exposure to early-stage or high-growth companies.
• Capital raising or venture financing experience.
• Company secretarial or governance experience. This can be picked up on the job and is not
essential.
ENGAGEMENT
Casual employment.
Work offered on an as-needed basis, expected to average around 1.5 days per week, with a higher
volume anticipated over the first two to three months.
Remote-first and flexible, candidate ideally in Eastern Australia time zone.
