Socomec North America (NAM) is Socomec’s organization overseeing all operations in North America. About This Role The Legal Counsel – Commercial provides legal support to the North American business under the direction of the Vice President & General Counsel. The role is primarily responsible for drafting, reviewing, negotiating, and administering commercial agreements while partnering closely with sales, service, supply chain, procurement, manufacturing, finance, and human resources teams. The incumbent helps identify and mitigate legal risks while enabling business growth through practical and commercially focused legal advice. Key Responsibilities And Accountabilities Draft, review, negotiate and advise on a wide range of commercial agreements, including customer contracts, master service agreements, purchase and supply agreements, distribution agreements, confidentiality agreements, software and technology agreements, vendor contracts and subcontractor agreements. Provide timely legal support to sales, service, procurement, supply chain and operational teams throughout the contract lifecycle. Support RFP, RFQ and tender submissions by reviewing legal and contractual requirements and recommending risk mitigation strategies. Partner with business stakeholders to structure commercial transactions while balancing legal risk and business objectives. Supervise the development and maintenance of contract templates, playbooks, clause libraries and standard negotiation positions. Identify legal, regulatory and contractual risks and provide practical recommendations to minimize exposure. Review customer and supplier terms and conditions and advise on deviations from approved standards. Assist with dispute resolution, claims management and contract interpretation matters. Provide legal support for employment, corporate, compliance and other legal matters as assigned by the VP & General Counsel. Conduct legal research and prepare legal memoranda, summaries and recommendations. Assist in the management of external legal counsel where specialized expertise is required. Support legal compliance initiatives, policy development and internal governance requirements. Assist with intellectual property matters, including trademarks, confidentiality protections and trade secrets. Deliver legal and contract management training to business stakeholders to improve contractual awareness and compliance. Maintain current knowledge of applicable U.S. and Canadian commercial laws impacting Socomec's operations. Essential Qualifications, Experience, And Skills Juris Doctor (JD) degree from an accredited law school. Licensed to practise law in at least one U.S. state or Canadian province. Minimum 5–8 years of corporate and commercial legal experience, with significant focus on commercial contracting. Demonstrated experience drafting, reviewing and negotiating complex commercial agreements. Experience supporting sales, procurement, manufacturing or industrial organizations. Knowledge of U.S. commercial law; familiarity with Canadian commercial law is considered an asset. Experience working in an in-house legal department is preferred. Experience supporting cross-border commercial operations in North America is desirable. Strong contract drafting, negotiation and legal writing skills. Excellent understanding of commercial contracting principles and risk allocation concepts. Ability to interpret legal requirements and communicate practical business solutions. Strong legal research and analytical capabilities. Proficiency with Microsoft Office applications. Experience with contract lifecycle management (CLM) systems is an asset. French language capability is an asset. Strong business acumen and commercial judgment. Collaborative approach and ability to build relationships across business functions. Exceptional verbal and written communication skills. Strong attention to detail and organizational skills. Additional specific requirements Willingness and ability to travel domestically and internationally as required. This role operates within a hybrid work model, requiring 3 days a week onsite presence at operational facilities in the Atlanta, Boston, Chicago or Denver areas.
