Work closely with Senior Manager of Conflicts and New Business Intake, Office of General Counsel, New Business Committee, and Firm management to oversee the review , implementation, administration, and compliance monitoring of Outside Counsel Guidelines (“OCGs”), client-prepared engagement documents, and other risk management operations within Intake Services. Support department goals by identifying and mitigating contractual, ethical, operational, and business risks associated with client engagements and ensuring the effective utilization of the Firm’s Intapp Terms platform. ESSENTIAL DUTIES AND RESPONSIBILITIES include the following: Under the direction of the Senior Manager of Conflicts and New Business Intake, General Counsel and the New Business Committee, establish policies and procedures to identify and mitigate risks associated with client-prepared engagement documents and with Intake Services processes. Oversee the management, implementation and promulgation of the Firm’s database of OCGs and client-prepared engagement documents to ensure compliance with client requirements and regulatory standards. Review, analyze and interpret Outside Counsel Guidelines, engagement letters, and related client documentation to identify legal, ethical, operational, financial, and compliance risks. Collaborate with attorneys, General Counsel, Billing, Finance, Practice Groups, Intake Services, and other stakeholders to facilitate the resolution of OCG-related issues, implementation of client requirements, and to ensure that processes and procedures align with Firm policies and industry best practices. Maintain and enhance standard review procedures, workflows, and quality control measures related to the Terms program and client engagement documentation. Identify trends and recurring issues in client requirements and recommend process improvements, policy enhancements and risk mitigation strategies. Provide guidance and training regarding the interpretation, application and management of Outside Counsel Guidelines and client engagement terms. Liaise with cross-functional teams to ensure alignment of processes and facilitate effective communication. Oversee the development of accurate records, documentation and audit trails of risk assessment and compliance activities related to new client engagements and client-specific requirements. Direct the generation of regular reports, metrics, analyses and dashboards to track and report compliance trends, OCG review activity, Intapp Terms utilization, and other key performance indicators. Perform other such duties as directed. EDUCATION AND EXPERIENCE: Bachelor’s Degree or minimum of seven years of related experience, law firm or similar process management/risk management experience required. Management or leadership experience is preferred. Must have the ability to prioritize and handle multiple projects at once while meeting deadlines and to work in a fast-paced environment with minimal supervision. Studies in areas directly applicable to the duties described above (e.g. business administration, project management, management, paralegal/legal assistant, and finance) desirable but not required. TECHNICAL SKILLS: Demonstrated proficiency in Microsoft Office Suite. Strong research skills. Knowledge of database architecture or programming a plus. Proven aptitude to learn new software applications. Experience with Intapp Terms , contract lifecycle management systems, legal operations platforms, or comparable engagement management technologies strongly preferred. OTHER SKILLS and ABILITIES: Interpersonal communication skills necessary to maintain effective relationships with general counsels, partners, attorneys, clients and staff. Ability to interpret complex legal and contractual language and communicate requirements clearly to various stakeholders. Ability to work effectively and provide a quality work product under extremely tight deadline pressure. Strong attention to detail and organizational skills. Exhibit independent thinking and decision making. Proven leadership skills and ability to effectively provide direction. Strong analytical, problem-solving and risk assessment capabilities. Ability to exercise sound judgment and maintain confidentiality when handling sensitive client and Firm information.
