We connect a regime-aware AI allocation engine directly to clients’ existing bank accounts under a Limited Mandate. The engine dynamically allocates across branded money market funds and low-risk alternatives — Goldman Sachs, BlackRock, JPMorgan and peers — on a custody-free, performance-only basis. Target net yield uplift is 60–120 bps over static MMF strategies, with liquidity and credit quality fully intact. We only earn a fee on the yield we generate above the client’s own benchmark.

The Mandate
As an Independent Board Member & Strategic Advisor, you will partner directly with the CEO and Executive Committee to optimize our corporate governance, clean up and expand our cap table, and prepare Scaleup for a public listing in the United States.
Key Responsibilities:
- Pre-IPO Capital Strategy & Cap Table Optimization: Institutional Investor Relations: Leverage established networks to introduce and syndicate top-tier Tier-1 Private Equity (PE), CVC, and institutional growth funds to lead our Pre-IPO round.
- Cap Table Restructuring: Advise on capital structure optimization, shareholder alignment, secondary share sales, and clean up ahead of SEC filing and listing.
- Investment Banking & Underwriter Engagement: Underwriting Syndicate: Facilitate direct introductions and lead selection discussions with global bulge-bracket and tech-focused investment banks (IBs) for the IPO syndicate.
- Valuation & Equity Story: Review and refine the company’s public market narrative, financial modeling, and analyst presentation to maximize public market valuation.
- Public Governance & Audit Readiness (PCAOB): Audit & Compensation Committee Guidance: Assist in building public-company-compliant governance structures, board committees (Audit, Remuneration, Nomination), and internal control frameworks aligned with SEC and Nasdaq standards.
- Fiduciary Oversight: Provide independent oversight on strategic M&A, cross-border expansion, and balance sheet risk.
Ideal Candidate Profile
- Institutional PE / VC Track Record: Current or former Managing Director / General Partner at a recognized global Private Equity or Growth Equity fund with a deep institutional investor network.
- Capital Markets / Investment Banking Experience: Former Managing Director or Head of Tech ECM / TMT Investment Banking at a major global bank with a track record of leading U.S. (Nasdaq/NYSE) IPOs.
- Public Company Board Experience: Prior experience serving on the board of a Nasdaq or NYSE-listed technology or fintech company through an IPO lifecycle.
- Network & Gravitas: High credibility with institutional asset managers, sovereign wealth funds (SWFs), SEC regulatory counsel, and PCAOB audit partners.
Compensation & Structure
- Retainer + Equity / Stock Options tied to Pre-IPO milestones and listing execution.
- Quarterly board meetings (Hybrid / In-person in Singapore or US) + on-demand advisory sessions with executive leadership.
