About the Opportunity

This opportunity is for experienced Private Equity and Investment Funds Attorneys with expertise in private equity transactions, investment funds, M&A, corporate law, and complex commercial agreements to contribute to advanced AI research and evaluation projects. You'll apply your legal expertise to review, analyze, and evaluate sophisticated transactional documents while helping improve the reasoning and performance of next-generation AI systems.

No prior AI experience is required. Your legal expertise and transactional experience are the primary qualifications for success in this role. Attorneys with strong backgrounds in private equity, fund formation, asset management, M&A, and technology transactions are especially encouraged to apply.

Responsibilities

• Review, analyze, and annotate complex transactional agreements, including MSAs, SPAs/APAs, LPAs, DPAs, NDAs, side letters, and related commercial contracts.

• Evaluate and provide structured feedback on credit agreements, banking documents, employment agreements, leases, SaaS/cloud agreements, and technology licensing contracts.

• Apply expertise in private equity, investment funds, asset management, M&A, and corporate law to assess legal content and AI-generated outputs.

• Identify legal risks, negotiation considerations, and key contractual provisions across a broad range of transaction documents.

• Draft sample clauses, contract summaries, and legal annotations to support AI training and evaluation initiatives.

• Analyze legal language and clarify complex contractual concepts for improved AI understanding and reasoning.

• Provide insights on data privacy, cybersecurity, technology transactions, and emerging legal trends.

• Collaborate with legal professionals to establish best practices, quality standards, and legal review frameworks.

Required Qualifications

• Juris Doctor (JD) from an accredited law school or equivalent legal qualification.

• Significant experience in private equity, investment funds, M&A, asset management, corporate law, or transactional legal practice.

• Strong expertise reviewing and negotiating commercial contracts, fund documents, and transaction agreements.

• Experience with MSAs, SPAs/APAs, LPAs, DPAs, NDAs, side letters, and related transactional documentation.

• Knowledge of contract drafting, legal risk assessment, and complex transaction structuring.

• Excellent legal writing, analytical reasoning, and communication skills.

• Strong attention to detail and ability to synthesize complex legal concepts accurately.

• Ability to work independently and contribute effectively in a remote environment.

Preferred Qualifications

• 8+ years of experience in private equity, investment funds, M&A, asset management, or related transactional legal practice.

• Experience advising on fund formation, investment management, banking and finance transactions, or corporate restructurings.

• Strong knowledge of technology transactions, SaaS agreements, cloud services, data privacy, and cybersecurity law.

• Experience creating legal annotations, contract review frameworks, or legal knowledge resources.

• LLM or additional specialized legal qualifications.

• Familiarity with AI, machine learning, legal data annotation, or AI model evaluation.

• Experience collaborating with distributed legal teams and cross-functional stakeholders.

Compensation

• Competitive compensation of $90–$130/hour.
