Senior Associate, Legal and Company Secretary Associate

About the Role: We are looking for a Senior Associate to join our team. This role will be responsible for handling all in-house legal matters and providing company secretarial functions in the Company's transition to becoming a publicly listed company. The successful candidate will work closely with internal stakeholders, senior management, external advisors, and regulators to ensure legal compliance, strengthen corporate governance, and support business growth. Key Responsibilities: Provide legal counsel on business transactions, contracts, and day-to-day operations. Draft, review, and revise legal documents, including MOUs, NDAs, agreements in both Thai and English. Coordinate board meetings for subsidiary entities, provide governance advice, take meeting minutes, and ensure timely circulation to relevant stakeholders. Assist in the Company's pre-listing readiness and post-listing preparation by supporting ongoing regulatory compliance, disclosure obligations, and implementation of governance frameworks. Work closely with external legal advisors, financial advisors, underwriters, auditors, and regulatory bodies to facilitate legal and IPO-related processes. Conduct research on relevant laws, monitor regulatory updates, and support the development of internal policies and corporate governance frameworks. Qualifications & Experience: Bachelor’s degree or higher in Law. minimum 3 years of experience in a legal field, preferably in a law firm, or in-house legal department with expertise in commercial and corporate law. Proficiency in both English and Thai. Ability to work independently while collaborating effectively across teams.
