Senior Corporate Paralegal

Is this job info correct?

Our Client

Waterstone Professional Recruiting has been exclusively engaged to place a Senior Corporate Paralegal with a Chambers-ranked international boutique law firm recognized as a global leader in venture capital, emerging company transactions, impact investing, and M&A. Operating from One Grand Central Place in New York — with additional offices in Vienna and Denver — this firm advises leading VC funds, growth-stage companies, family offices, and impact investors around the world.

Forbes has recognized this firm for deploying over $500M in impact investments globally. Their New York team is lean, senior, and high-trust — a place where your work is visible and your ownership is real.

Why This Role Is Worth Your Attention

If you've been delivering sophisticated corporate paralegal work at a high-volume firm and wondering what it would take to have a better quality of life without sacrificing the quality of your work — this is that opportunity.

  • Billable hour target of approximately 1,000 hours/year — far below the industry standard. This firm genuinely respects your time.
  • $120,000–$160,000 base salary with a tiered bonus for hours above target — exceptional comp for the pace of this role.
  • End-to-end ownership: you'll run closings, build processes, and serve as a trusted operational partner to senior attorneys — not a support role.
  • Chambers-ranked prestige, Chambers Alternative Funds 2025 featured, with a differentiated practice in impact investing.
  • Hybrid schedule: 1–2 days in the Grand Central office; the firm is open to fully remote for the right candidate.

The Role

The Senior Corporate Paralegal will join the New York corporate team and take ownership of complex transactional workflows with minimal supervision. You'll work directly alongside senior attorneys on venture financings, M&A transactions, and entity management matters — and you'll have the latitude to improve how the team operates along the way.

What You'll Be Doing

  • Owning corporate filings, entity management, and governance workflows across multiple client entities
  • Coordinating and managing closings for venture financings — SAFEs, convertible notes, priced equity rounds — including signature packages, data rooms, and cap table maintenance
  • Designing and improving internal processes, closing checklists, and precedent libraries
  • Serving as the primary coordination point between attorneys, clients, and counterparties across all transactional matters
  • Expanding into funds and debt closings as the role and your relationship with the firm grows

What You Bring

  • 6–15 years of corporate paralegal experience at a law firm or sophisticated legal environment — this is not a role for someone still finding their footing
  • Hands-on experience with venture/emerging company transactions: SAFEs, priced rounds, convertible notes, cap tables, option grants, equity documentation
  • A track record of independently managing closings — signature packages, multi-party logistics, virtual data rooms — without needing to be told what to do next
  • Deep corporate governance skills: entity formation, maintenance, and state filings across multiple U.S. jurisdictions; minute books
  • Proficiency with DocuSign, virtual data rooms, and document management systems
  • Paralegal certificate or equivalent credential
  • Based in or near New York City; able to come into the Grand Central office 1–2 days per week
  • U.S. work authorization required — visa sponsorship is not available

What Makes the Right Fit

This is a scrappy, high-autonomy environment. The attorneys you'll support are experienced and fast-moving — they need a paralegal who anticipates, not one who waits. If you thrive with real ownership, enjoy building and improving systems, and want to do meaningful work at a firm that actually respects boundaries, this could be an exceptional next move.

This is not the right role for someone seeking a traditional administrative support position, a high-volume transaction mill, or significant day-to-day supervision.

Compensation & Benefits

Base Salary: $120,000 – $160,000

Bonus: Tiered structure for hours billed above the annual target

Equity: Competitive equity offered

Health Insurance: 100% covered for the employee

Retirement: 401(k) with employer match

PTO: 20 days — genuinely encouraged and respected

Work Model: Hybrid (1–2 days in Grand Central); open to fully remote for the right candidate
