The difference you’ll make As a Senior Legal Counsel, you will play a pivotal role in providing legal advice across various domains: commercial support, including corporate law, M&A, corporate governance, regulatory compliance and technology. Your expertise will guide the company through complex legal landscapes, ensuring compliance and supporting business objectives. What you’ll do Commercial Support: Draft, negotiate, and advise on a wide range of commercial contracts including aggregator agreements, white-label partnerships, and vendor arrangements. Support the commercial team with structuring scalable, legally sound partner arrangements that align with strategic business objectives. Ensure third-party agreements address compliance, liability, data handling, IP ownership, service levels, and commercial risk. Play a key role in the legal negotiation and onboarding process of new commercial partners to enable rapid and compliant growth. Partner with product and commercial teams to support the development and launch of new products and services, ensuring appropriate legal structuring, regulatory compliance, risk mitigation, and speed to market. Corporate Governance & M&A: Lead and advise on mergers, acquisitions, corporate structuring, and strategic transactions. Provide expert guidance on corporate governance matters, including capital raising, director responsibilities, shareholder communications, and board advisory. Support the board with governance frameworks, compliance with Corporations Act obligations, maintenance of statutory registers, and preparation of board resolutions and meeting materials. Assist in managing conflicts of interest, related-party transactions, and governance processes to ensure transparency and compliance with fiduciary duties. Regulatory Compliance: Advise on financial services laws and regulations, including ASIC and NCCP obligations relevant to lending, credit, and financial product advice. Oversee compliance with all applicable legal and regulatory frameworks, ensuring the business operates within the boundaries of Australian financial services (AFS) licensing conditions. Monitor regulatory developments and manage interactions with regulatory bodies, particularly ASIC, including breach reporting, license variations, and ongoing compliance obligations. Develop and maintain internal policies, procedures, and training programs to ensure compliance with ASIC’s standards on conduct, disclosure, and responsible lending. Provide legal oversight on advertising, promotions, and communications to ensure they comply with financial services disclosure rules and avoid misleading or deceptive conduct. Intellectual Property & Technology: Manage and protect the company's intellectual property portfolio, including trademarks and patents. Advise on technology-related legal issues including SaaS agreements, data licensing, and vendor contracts. Provide legal support on cybersecurity, data governance, and privacy (in line with the Privacy Act and relevant guidelines). Leadership & Collaboration: Collaborate with cross-functional teams across product, finance, operations, and executive leadership to provide legal insights on strategic initiatives and business-as-usual activities. Partner closely with internal departments to proactively identify and advise on legal considerations across projects, contracts, and processes. Support teams in mitigating legal and regulatory risks, ensuring projects are compliant and commercially sound. What we are looking for 8+ years of post-admission experience in corporate law, preferably with exposure to M&A, finance, and technology sectors. Admission to practice law in Australia with a current practicing certificate. Strong understanding of corporate governance, regulatory compliance, and risk management. Excellent negotiation, drafting, and communication skills. Ability to work independently and collaboratively in a fast-paced environment.
