About our position The Assistant Counsel works under the supervision of the Chief Administrative Officer/General Counsel to protect the organization's legal interests, manage enterprise risk, and support strategic business initiatives. This role provides practical, business-oriented legal support and advice across a broad range of matters, including commercial contracting, privacy and cybersecurity, employment law, regulatory compliance, corporate governance, intellectual property, mergers and acquisitions, and dispute resolution. The successful candidate combines strong legal expertise with sound business judgment and a collaborative and service-oriented approach, helping business stakeholders achieve organizational objectives while maintaining compliance and minimizing legal and operational risk. What you’ll be doing Drafting, reviewing, negotiating, and managing a wide variety of commercial agreements, including customer, vendor, partner, licensing, SaaS, confidentiality, data processing, and professional services agreements. Developing and maintaining contract templates, playbooks, training materials, and approval processes to improve efficiency and consistency. Working closely with Information Security, IT, Human Resources, and business leaders to support privacy, cybersecurity, and data governance initiatives to maintain compliance with applicable privacy laws, regulatory requirements, and contractual obligations. Providing guidance to management and the company's global HR team on employment-related issues, including employment agreements, employee relations, workplace policies, investigations, accommodations, performance management, and separation matters. Supporting corporate governance activities, including entity management, board-related matters, and corporate records. Assisting with corporate transactions, including due diligence, document review, and integration support. Performing other duties and responsibilities and assisting with special projects as may be assigned from time to time. What we want you to have Juris Doctor (J.D.) degree from an ABA-accredited law school. Active membership in good standing with at least one state bar. 4+ years of relevant legal experience, with experience in a corporate legal department preferred. Demonstrated experience drafting, reviewing, and negotiating SaaS agreements. Demonstrated knowledge of global privacy, cybersecurity, and data governance programs. Working knowledge of employment law, corporate law, and regulatory compliance matters. Familiarity with international business operations and global compliance requirements. Experience implementing process improvements and legal operations best practices. Experience supporting mergers and acquisitions, corporate transactions, and post-acquisition integration. Strong analytical, problem-solving, negotiation, and risk-assessment skills. Excellent written, verbal, and interpersonal communication skills. Ability to manage multiple priorities, with minimal supervision, in a fast-paced, customer-service oriented environment. Compensation The compensation for this position is determined based on a wide variety of factors, including but not limited to an individual’s skill set, experience, training, certifications, education, as well as business needs and internal equity. A reasonable estimate of the current compensation range for this position is $140,000-$165,000.
