What you’ll do

  • You'll manage the full spectrum of corporate secretarial services for fund structures (including VCCs, LPs, and SPVs) and other corporate entities, ensuring compliance with statutory and regulatory requirements.
  • You'll handle company incorporations, branch registrations, statutory filings with ACRA, and the maintenance of statutory registers, minute books, and corporate records.
  • You'll coordinate, organize, and conduct board and shareholder meetings, preparing agendas, resolutions, and accurate meeting minutes in a timely manner.
  • You'll provide corporate governance, compliance, and regulatory advisory support, while serving as the primary point of contact for assigned clients and supporting client onboarding activities.
  • You'll liaise with clients, auditors, legal counsel, tax advisors, and regulatory authorities, while reviewing the work of junior team members and providing guidance and mentorship.

About you

Qualifications

  • You hold a degree in Business Administration, Law, or a related discipline, and an ICSA qualification (or equivalent) is preferred.
  • You have at least 5 years of corporate secretarial experience, with strong exposure to funds and special purpose vehicles (SPVs).
  • You are conversant with the Singapore Companies Act and the Variable Capital Companies (VCC) Act, with a solid understanding of regulatory and compliance requirements.
  • You can work independently with minimal supervision and collaborate effectively within a fast-paced team environment.
  • You are detail-oriented, accountable, and proactive, with excellent written and verbal communication skills and the ability to manage multiple deadlines.
