Associate General Counsel
InceptionWe are seeking an Associate General Counsel to join a small, high-leverage legal department supporting a rapidly growing, private equity-backed fertility care platform. This is a generalist in-house role with a corporate and commercial center of gravity, layered with the healthcare regulatory issues specific to assisted reproductive technology.
The right candidate is comfortable operating without a large team beneath them, moves quickly, and is willing to own matters end-to-end — from drafting a physician employment agreement on Monday to running diligence on a practice acquisition on Wednesday. You will work directly with the CLO, the executive team, clinic leadership, and our physician partners, and you will have meaningful exposure to the sponsor and the board.
Key Responsibilities
Commercial contracting -
- Draft, negotiate, and manage the full range of commercial agreements: vendor and supplier contracts, laboratory and equipment agreements, technology and SaaS licenses, marketing and media agreements, and real estate leases for clinic and lab sites.
- Own the contract lifecycle — intake, triage, templates, playbooks, signature routing, and the contract repository — and improve the process as volume grows.
- Negotiate payor agreements and contracts with fertility benefit managers and employer-sponsored benefit programs.
Physician and provider arrangements -
- Draft and negotiate physician employment agreements, professional services agreements, medical directorship agreements, recruitment and relocation arrangements, and partnership/equity participation documents.
- Structure compensation arrangements with a working command of the Anti-Kickback Statute, the Stark Law, and applicable state self-referral and fee-splitting prohibitions.
- Advise on corporate practice of medicine constraints and the maintenance of MSO and affiliated professional entity structures across multiple states.
Transactions -
- Support add-on acquisitions of fertility practices and laboratories: LOIs, diligence workstreams, purchase agreements, disclosure schedules, ancillary documents, and post-closing integration.
- Support de novo clinic and lab openings, including licensure, accreditation, and entity formation workstreams.
- Manage outside counsel on transactions, including scoping, budgeting, and holding the line on spend.
Healthcare regulatory and compliance -
- Advise on ART-specific regulatory matters: FDA human cells, tissues, and cellular and tissue-based products requirements (21 CFR Part 1271), CLIA and CAP laboratory issues, state ART and fertility insurance mandates, and gamete and embryo donation, storage, and disposition.
- Review and maintain patient consent documentation, including cryopreservation, disposition, and directive forms.
- Advise on HIPAA, state health data privacy laws, and consumer health data and online tracking requirements.
- Support compliance with the No Surprises Act, good faith estimate obligations, and price transparency requirements.
- Review patient-facing marketing, advertising, and outreach for regulatory and consumer protection risk.
Corporate governance and general support -
- Maintain entity governance across a multi-state structure: formations, qualifications, annual filings, consents, and the corporate record.
- Support sponsor and lender reporting obligations and periodic board materials.
- Provide day-to-day counsel on employment matters in partnership with outside employment counsel.
- Manage pre-litigation disputes, demand letters, subpoenas, and records requests; coordinate with outside counsel on active litigation.
Required Qualifications:
- J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction.
- 5–8 years of combined law firm and in-house experience.
- Demonstrated healthcare experience — provider-side, payor-side, or healthcare services transactional work. Deep ART or fertility experience is not required; however must have the willingness to learn.
- Strong commercial drafting and negotiation skills across a broad range of agreement types.
- Sound, practical judgment and the ability to give a clear answer to a business partner on an imperfect record.
Preferred Qualifications:
- Experience supporting a private equity-backed or multi-site healthcare services platform.
- Buy-side M&A experience, particularly with add-on acquisitions of physician practices.
- Familiarity with fraud and abuse analysis in physician compensation arrangements.
- Experience building or improving legal processes in a department without extensive infrastructure.
