The RoleWe are looking for an exceptional, legally astute Chief Legal Officer (CLO) / General Counsel to take executive ownership of our legal, regulatory, and corporate governance frameworks.
Working directly alongside founder-level leadership, you will safeguard our intellectual property portfolio, structure cross-border enterprise and retail agreements (such as with Superdrug and SHOPLINE USA), and ensure rigorous compliance with UK medical device and data privacy regulations.
Key Responsibilities- Regulatory & MedTech Compliance: Oversee compliance frameworks relating to healthcare software, including UKCA/CE medical device regulations, NHS data security standards, and DTAC requirements.
- IP Strategy & Protection: Manage the robust protection, filing, and assignment of intellectual property across AI MedTech and Incendium Labs, ensuring clean unencumbered IP for future investment rounds.
- Commercial Contracting: Draft, review, and negotiate high-stakes commercial agreements, enterprise SaaS contracts, pilot terms, and international distribution MOUs (including US channel partnerships).
- Corporate Governance & Cap Table Management: Advise on corporate structuring, advisory agreements, equity vesting schedules, and shareholder relations as the company scales.
- Data Privacy & GDPR: Ensure strict alignment with UK GDPR, patient data security protocols, and wearable telemetry data governance (Apple HealthKit integrations).
- Eligibility (Mandatory): Must be a Qualified Solicitor or Barrister in England and Wales (SRA or Bar regulated) holding British Citizenship or Indefinite Leave to Remain (ILR).
- Experience: Proven legal background (ideally 5+ years PQE) within corporate law, commercial tech transactions, life sciences, or digital health regulatory compliance.
- Startup Agility: A pragmatic, business-minded lawyer who thrives in a fast-paced, high-growth startup environment—balancing legal risk mitigation with rapid commercial execution.
- Communication & Leadership: Exceptional stakeholder management skills, capable of translating complex regulatory and legal concepts for technical, clinical, and commercial partners.
