About the Role We are looking for a Commercial Contracts Manager to draft, review, negotiate, and manage customer and supplier contracts across Systemex Group. Working with leadership and cross-functional teams, this role ensures terms are clear, practical, and aligned with business objectives and risk tolerance. Reporting to the VP of Finance and Corporate Affairs, this role manages most contract matters internally and escalates to external legal counsel when needed. Key Responsibilities Contract Drafting, Review & Negotiation Draft, review, revise, and negotiate customer contracts, supplier/subcontractor agreements, NDAs, amendments, service agreements, purchase terms, proposals, SOWs, and related commercial documents. Review legal and commercial terms such as liability, indemnity, warranty, insurance, IP, confidentiality, termination, disputes, limitation of liability, governing law, scope, deliverables, payment, and change orders. Lead the internal contract review process and escalate matters to business leaders or external legal counsel when appropriate. Internal Coordination & Advisory Support Act as the main internal contract advisor for leadership, finance, operations, procurement, project teams, business development, HR, and other stakeholders. Gather business, technical, financial, and operational input to support drafting, negotiation, and decision-making. Coordinate approvals and support contractual discussions with customers, suppliers, subcontractors, and partners. Contract Standards, Process & Risk Management Develop and maintain contract templates, playbooks, clause libraries, documentation standards, and workflows. Track contract status, key obligations, renewals, amendments, approvals, and execution from request through close-out. Identify contractual, commercial, financial, operational, delivery, insurance, and reputational risks and recommend practical mitigation strategies. What We Are Looking For Bachelor’s degree in Business, Law, Paralegal Studies, or a related field. 7–10+ years of experience in commercial contract drafting, review, negotiation, contract management, or legal/commercial advisory support. Strong hands-on experience drafting, redlining, and negotiating customer and supplier terms and conditions. Ability to identify contractual risk, propose practical fallback language, and balance legal protection with business and operational needs. Strong business judgment, negotiation skills, attention to detail, and ability to explain complex contract concepts to non-legal stakeholders. Proficiency in French is mandatory. Proficiency in English is also required to communicate with internal clients and partners outside Quebec. Nice to Have Experience in engineering, technology, mining, or industrial environments.
