Summary:
Corbin Consulting Engineers is seeking a part-time Contract Review Specialist to support the review, development, and negotiation of contract proposals, professional service agreements, and other business contracts. This individual will work closely with our business development team, engineering team, project managers, and company leadership to identify contractual risks, recommend appropriate revisions, and provide clear markups that can be incorporated into contract negotiations.
The ideal candidate will have significant experience reviewing and developing contracts and the ability to translate complex contractual language and risk considerations into practical guidance for our internal team. Experience as an attorney, paralegal, contracts professional, or in a similar contract-focused role is strongly preferred.
Schedule:
This is a part-time position anticipated to work up to 20 hours per week. The actual schedule and number of hours may vary depending on contract volume and business needs.
Key Responsibilities
- Review client contracts, proposals, professional service agreements, amendments, subconsultant agreements, and other business documents for contractual risk and unfavorable terms.
- Identify and evaluate high-risk contract provisions and provide clear recommendations regarding proposed changes.
- Prepare contract markups and redlines for the internal staff and company leadership to incorporate into client negotiations.
- Review provisions related to indemnification, limitation of liability, standard of care, insurance requirements, warranties, consequential damages, intellectual property, confidentiality, payment terms, termination, dispute resolution, schedule obligations, and other areas of potential risk.
- Provide concise explanations of contractual concerns so the internal team can understand the business and risk implications of specific provisions.
- Respond to follow-up questions from internal staff and leadership regarding contract language, proposed revisions, and negotiation considerations.
- Assist with the development and improvement of Corbin's standard contract language, templates, preferred terms, and fallback provisions.
- Develop and maintain a library of commonly negotiated clauses and recommended alternative language.
- Help establish consistent contract review standards, processes, and best practices across the organization.
- Identify recurring contractual issues or trends and recommend opportunities to reduce risk and improve the contract review process.
- Maintain organized records of contract reviews, markups, and relevant correspondence.
- Handle confidential and sensitive company and client information with appropriate discretion.
Skills, Knowledge and Expertise
- Strong knowledge of contract language, contract development, and contractual risk.
- Ability to identify potentially unfavorable or high-risk provisions and recommend practical alternatives.
- Strong contract drafting, editing, and redlining skills.
- Ability to translate complex legal and contractual concepts into clear, practical guidance for project managers and non-legal stakeholders.
- Excellent written and verbal communication skills.
- Strong attention to detail and commitment to accurate, thorough work.
- Sound judgment with the ability to distinguish material contractual risks from lower-priority issues.
- Ability to work independently, prioritize reviews, and manage multiple contracts or deadlines simultaneously.
- Strong collaboration skills and the ability to work effectively with internal staff and senior leadership.
- Proficiency with Microsoft Word and Bluebeam Revu, including Track Changes and document comparison tools.
- Familiarity with contracts for architecture, engineering, construction, or other professional services is strongly preferred.
Education and Experience:
- Juris Doctor (JD), paralegal certification, bachelor's degree in a related field, or an equivalent combination of education and substantial contract-review experience.
- Professional experience reviewing, drafting, negotiating, or administering commercial or professional service contracts.
- Experience working as an attorney, paralegal, contracts specialist, contracts administrator, or similar role is preferred.
- Experience reviewing architecture, engineering, construction (A/E/C), consulting, or professional services agreements is highly preferred.
- Experience identifying and advising on contractual risk related to professional liability, indemnification, insurance, standard of care, and limitation of liability is preferred.
- Experience developing contract templates, standard clauses, negotiation guidance, or contract-review procedures is a plus.
