Reporting to the VP of Operations, we are looking for someone to take charge of our contract templates as well as the review, negotiation, and administration of our client and supplier contracts. This person will work closely with leadership, sales, and various teams to balance Spiria's business objectives with our risk tolerance. They will also oversee governance of our key compliance programs, notably SOC 2, in collaboration with control owners and external experts. Unusual, complex, or high-exposure legal matters will be directed to our external partners. As Contracts & Compliance Manager at Spiria, you will: Understand the various variables that determine risk and associated costs in order to successfully negotiate contractual agreements; Act as a point of reference for the sales and delivery teams in assessing contractual risks, recommending negotiating positions, and proposing solutions that protect Spiria while helping close deals; Advise teams on associated risks and coordinate the use of external legal counsel or experts when necessary; Review, amend, and negotiate client contracts, supplier and subcontractor agreements, non-disclosure agreements, amendments, service agreements, purchase terms, proposals, statements of work, and other business documents; Participate in drafting bid proposals to ensure optimal risk management and compliance with requirements; Ensure the company complies with applicable legal requirements and that internal records are kept up to date; Lead and evolve Spiria's compliance programs (notably SOC 2, North American and European privacy laws, and federal government contract security programs) by coordinating control owners, documentation, evidence gathering, and remediation plans. Coordinate compliance audits with internal teams, auditors, and external consultants, and follow up on identified gaps; Participate in managing disputes related to the termination of contractual agreements, payment collection, and employment matters. The keys to your success: Relevant university degree in business administration, law, or a related field; Minimum of 7 years of experience in contract management or a similar role; Fluency in French and English required to communicate with clients and partners located outside Quebec; Ability to assess risk within its business context, distinguish critical issues from acceptable ones, and formulate pragmatic recommendations that support informed decision-making; Proficiency with the Microsoft suite, notably Office 365, SharePoint, and Teams; Ability to proactively prevent conflicts or disputes, negotiate balanced solutions, and build trust through effective communication; Strong autonomy and the ability to see matters through to completion while navigating complex or unfamiliar situations with composure; Ability to demonstrate calm, judgment, and firmness in difficult negotiations, while maintaining constructive relationships with internal and external stakeholders; Ability to manage multiple files simultaneously and work effectively, both independently and as part of a team; Familiarity with how a company operates in the professional services sector. The following will be considered assets: knowledge of the SOC 2 standard; experience in privacy protection / compliance (Law 25); federal government contract security program; CRM (Canadian Risk Management) designation.
