This position is a key member of the legal team, reporting to the Vice President, Corporate Secretary and Chief Ethics Officer, and advises H&R Block, Inc. and its subsidiaries on a variety of complex legal issues.

Day to day, you'll...

• Coordinate with internal clients and internal and external attorneys, and independently advise on complex legal issues affecting the Company’s operations, governance, and strategic initiatives, as further described below
• Lead internal legal strategy for the Company’s Acquisitions & Development program by directing transaction legal due diligence, advising the internal operations team on legal and business issues that arise during transactions, drafting and negotiating purchase agreements and related transaction documents with counterparties and their legal counsel, and shaping post-closing integration activities and pre-litigation dispute resolution
• Work closely with the Vice President and Corporate Secretary and Chief Legal and Administrative Officer to provide legal advice to enable senior officers and the board of directors to make informed decisions related to mergers and acquisitions, strategic initiatives, and other corporate transactions
• Enable the success of the Company’s finance department by advising on the legal and corporate governance aspects of corporate tax-related activities and initiatives
• Serve as a department subject matter expert on matters related to domestic and international governance structure, certain financing activities, and a variety of strategic initiatives that arise from time to time
• Provide legal advice on sustainability and corporate responsibility reporting frameworks and standards, and partner with the Investor Relations and Accounting teams to identify sustainability-related risks and opportunities and enable clear, timely reporting in Corporate Social Responsibility Reports, proxy statements, and other filings
• Advise on the Company’s periodic SEC reports and public financing-related matters, as needed
• Manage outside counsel regarding tactical work on strategic transactions
• Domestic or international travel may be required (less than 10%)
• Adapt to and advise on evolving business, regulatory, and strategic priorities as organizational needs change

Required Qualifications

Juris Doctorate degree plus license to practice law in one or more states. A current member of the Missouri Bar or an ability to become a member of the Missouri Bar within six months.

• At least five years of legal experience at a law firm, corporate legal department, or similar.
• Demonstrated analytical and problem-solving skills
• Ability to plan and coordinate multiple projects and work initiatives at the same time
• Effective oral, written and interpersonal communication skills. Strong presentation skills necessary to communicate and persuade a wide range of audiences
• Effective negotiation skills, executive presence, sound judgment, and collaborative influence to lead complex negotiations and align stakeholders
• Proven ability to build strong, collaborative relationships with clients, peers, and external partners, delivering thoughtful, customer-focused legal guidance that supports business objectives
• Ability to navigate ambiguity and assess legal and business risk effectively
• Demonstrated creativity in resolution of complex disputes
• Strong business acumen and an eagerness to partner with internal business colleagues to solve business issues
• Proactively and responsibly leverage AI and digital tools to simplify legal workflows, strengthen quality, and improve individual and team efficiency, and enable responsible experimentation through a practical test-and-learn mindset
• Demonstrated accountability, a collegial approach to client interactions, and collaborative influence to deliver practical outcomes that advance the Company’s objectives

Preferred Qualifications

• Significant experience working on complex mergers, divestitures, acquisitions and other corporate transactions involving sophisticated counterparties
• Significant experience providing legal advice on complex matters related to legal and organizational enterprise structure, involving both domestic and international subsidiaries
• Significant experience working with and providing legal advice to senior executives and subsidiary or parent-company boards of directors
• Experience working on corporate sustainability reporting in domestic and international jurisdictions, including the EU’s Corporate Sustainability Reporting Directive (CSRD)
• Experience with AI powered tools and practices incorporated into daily work
