The Role
The Corporate Development Manager will be an investor-facing corporate finance partner supporting Carbon Cleans capital formation, company valuation and strategic growth activities. You will own and maintain robust corporate valuation and financing models, translate the company's strategy and performance into clear investor-ready analysis and respond to financial and valuation questions from prospective investors and funding partners. The role also leads economic evaluation of projects and opportunities, including NPV, IRR, cash-flow, sensitivity and scenario analysis, and periodically updates the corporate overhead budget model and allocation methodology for use across projects. You will support the VP, Corporate Development and executive team with clear, defensible analysis and decision-ready recommendations.
Success in this role will be defined by the accuracy, clarity and auditability of company valuation models; the quality and responsiveness of investor-facing financial analysis; the rigour of project economic assessments; and the reliability of the corporate overhead budget and cost-allocation model.
Role Focus (First 6–12 Months):
· 50–60%: Company valuation, investor-facing analysis, capital raising materials, diligence and investor Q&A
- 25–30%: Project economics, including NPV, IRR, cash-flow, LCOC, sensitivity and scenario modelling
- 10–20%: Corporate overhead budgeting, cost allocation, partnerships and strategy support
Responsibilities consist of but not limited to...
Corporate Development Execution (Funding, Strategy & Transactions)
· Execute corporate development initiatives across funding, strategy, and transactions.
· Prepare high-quality investor, board, and transaction materials (IMs, presentations, supporting analysis).
· Support prospective investor and funding-partner engagement by preparing and explaining company valuation outputs, key assumptions, sensitivities, funding requirements and expected returns, and by coordinating accurate responses to financial diligence questions.
· Develop company and transaction valuation cases across financing structures, partnerships and M&A opportunities, clearly articulating assumptions, valuation ranges, dilution, returns and key risks.
· Manage data rooms and coordinate internal/external diligence processes.
· Partner with external advisers (banks, legal, consultants) on models, structures, and financing vehicles.
· Lead M&A and selective inorganic analysis, including valuation, diligence, and clear recommendation synthesis.
Corporate Finance, Analysis & Modelling Excellence
Act as the financial-model owner for investor engagement, ensuring the corporate valuation model, supporting schedules and investor responses remain consistent with approved strategy, budgets and operating assumptions.
· Build, own and maintain robust, defensible financial models across the company, projects, transactions and products, with clear assumptions, version control, model checks and transparent outputs.
· Enhance modelling efficiency, automation, and data quality across Corporate Development.
· Lead economic analysis for projects and commercial opportunities, including NPV, IRR, cash-flow, break-even, LCOC, sensitivity and scenario analysis, and translate the results into clear recommendations.
· Periodically update the corporate overhead budget model, reconcile it with approved planning assumptions, and maintain a transparent basis for allocating relevant overheads to projects. Support broader modelling needs including planning, opportunity evaluation, JV analysis and proposition modelling.
· Translate complex analysis into clear, actionable insights for senior stakeholders.
Portfolio Advancement & Partnership Development
- Collaborate cross-functionally to maintain a deep understanding of project and opportunity pipelines.
· Provide valuation and economic analysis for partnerships across the value chain, including transport, sequestration and utilisation, while supporting commercial and strategic workstreams as required.
· Build effective working relationships with prospective investors, banks, advisers, infrastructure and transition funds, and industry partners, representing and explaining Carbon Clean's financial case with credibility.
- Support development of long-term roadmaps and investment recommendations for executives.
Team Contribution & Leadership
- Provide guidance, mentorship, and quality review across team outputs.
- Coordinate workstreams across analysts and associates while maintaining a strong individual contribution (~70–80%).
- Build strong internal relationships and organisational trust.
You are an ideal candidate if…
· You have a background in corporate development, investment banking, transaction advisory, valuation, corporate finance or commercially oriented FP&A, with direct experience preparing company valuation models and supporting investor, lender or transaction discussions. Candidates whose experience is primarily public-markets equity research or portfolio analysis should demonstrate clear corporate-side transaction, valuation and investor-engagement experience.
- You have experience in energy transition, industrials, or infrastructure; exposure to carbon capture or decarbonisation economics is advantageous.
- You have a strong understanding of capital raising processes, including investor materials, valuation narratives, financial diligence, investor Q&A and working with external advisers.
- You have advanced financial modelling capability across company valuation and project economics, including DCF and comparable-company approaches, NPV, IRR, cash-flow, scenario and sensitivity analysis.
- You can translate complex or incomplete data into structured, decision-ready insights.
- You have a strong grasp of project economics, key value drivers, cost curves and capital allocation for capital-intensive sectors, and can convert technical and commercial assumptions into NPV, IRR, break-even and LCOC outputs.
- You're comfortable working with large, imperfect datasets and forming robust assumptions; experience with data tools (including generative AI) is a plus.
- You have experience supporting M&A, joint ventures, partnerships, or other inorganic growth initiatives, including valuation and diligence.
- You're familiar engaging with investment banks, legal counsel, and consultants through transaction or funding processes.
- You're a clear and structured communicator, able to distil analysis into executive-level insights.
- You're highly organised, capable of managing multiple workstreams with competing priorities.
- You hold a Bachelor's degree in Finance, Economics, Engineering or a related field. An MBA, ACA, ACCA, CIMA, CPA or equivalent corporate finance/accounting qualification is advantageous; a CFA may also be relevant where accompanied by demonstrable corporate-side valuation, capital raising and project-economics experience.
