Role Description This full-time Corporate Lawyer role is based in Luxembourg and structured as a hybrid position, combining on-site work with the option to work from home part of the time. The role involves advising clients on corporate transactions, governance structures, and commercial contracts, as well as assisting with tax-related aspects of corporate matters in collaboration with specialist advisors. Day-to-day responsibilities include drafting and negotiating transaction documents, conducting legal research and due diligence, and preparing clear, client-focused memoranda and opinions. The Corporate Lawyer will coordinate with internal and external stakeholders, manage timelines, and support the efficient closing of transactions. The role also includes contributing to internal knowledge development, staying current with relevant laws and regulations, and participating in business development initiatives where appropriate.

Qualifications

• Solid experience in corporate law, including drafting and negotiating shareholders’ agreements, investment documents, and corporate governance frameworks.
• Ability to handle M&A, private equity, or venture capital transactions, including due diligence, structuring, and transactional documentation.
• Strong legal research, analytical, and problem-solving skills, with the capacity to deliver pragmatic, business-oriented advice.
• Excellent written and verbal communication skills in English; proficiency in French and/or another European language is an asset.
• Ability to manage multiple matters simultaneously, meet deadlines, and work both independently and collaboratively in a hybrid work environment.
• Recognized law degree and admission, or eligibility for admission, to practice law in Luxembourg or another EU jurisdiction.
• 2–4 years of post-qualification experience in a Luxembourg law firm, preferably with exposure to international or cross-border work.
• High professional integrity, client-focused mindset, and commitment to continuous learning and development.
