Expert Corporate Counsel Department: Legal Team Location: Luxembourg Contract: Fixed-term contract (6 to 9 months) Working Model: Hybrid Under the direct supervision of the Group General Counsel, the Expert Corporate Counsel will play a key role in providing legal support across a broad range of corporate and commercial matters. The successful candidate will be responsible for drafting, negotiating, reviewing, and managing a wide variety of agreements, including service agreements with corporate clients, investment funds, depositaries and AIFMs, as well as real estate leases, confidentiality agreements, and other commercial contracts. Working within an international environment, the role offers exposure to both domestic and cross-border legal matters while serving as a trusted advisor to business stakeholders. In addition to commercial legal work, the role carries significant responsibility for advising on the Luxembourg regulatory framework applicable to Professionals of the Financial Sector (PSFs). The Expert Corporate Counsel will provide guidance on CSSF regulations, AML/CFT requirements, governance standards, and outsourcing arrangements, ensuring that legal and regulatory obligations are effectively integrated into business operations. The position also involves supporting regulatory initiatives, reviewing and enhancing internal policies, monitoring legal and regulatory developments, and contributing to the organization's ongoing compliance efforts. Some of the things you will be doing Draft, review, and negotiate a wide range of legal documentation and commercial agreements. Support the development and maintenance of a legal template database for the Luxembourg business. Provide legal advice and assistance on global initiatives and strategic projects across the CSC Group. Independently manage and resolve a variety of Luxembourg legal and regulatory matters. Monitor and assess developments in Luxembourg and European legal and regulatory frameworks, identifying potential impacts on the business. Partner closely with business teams across Funds, Depositary, AIFM, Corporate, and Capital Markets, delivering proactive legal guidance and support. Communicate relevant legal and regulatory developments to operational teams and support the implementation of necessary changes. Contribute to the legal assessment and implementation of new products, services, business opportunities, and strategic initiatives. Identify, assess, and escalate potential legal and regulatory risks, acting as an early warning mechanism to help protect the Company's interests. Collaborate with internal stakeholders to ensure legal and regulatory considerations are appropriately addressed in business decisions and processes. Your Profile Bachelor's degree in Law, Business Law, Corporate Law, or a related field. Minimum of 5 years of relevant professional experience, with strong expertise in Luxembourg and EU law gained within a law firm, the financial services industry, a PSF, or a corporate services environment, coupled with a solid understanding of Luxembourg legal and regulatory frameworks applicable to SPVs, holding companies, financing vehicles, and securitization structures. Fluent in English, both written and spoken. Additional language skills, particularly French or German, would be considered an asset. Experienced legal professional with a proactive, solution-oriented, and confident approach. Strong communication, stakeholder management, and negotiation skills, with the ability to provide practical and commercially focused legal advice. Detail-oriented, adaptable, and hands-on, with the ability to manage multiple priorities and perform effectively under tight deadlines.
