We are looking to expand our team with a talented corporate lawyer based in Spain who can work seamlessly with our U.S. attorneys and clients.
The Role
Avid Legal is seeking a Spain-based Foreign Counsel with strong corporate and transactional experience to support our growing M&A, venture capital, financing, and general corporate practice.
This is a full-time, remote position based in Spain. The ideal candidate will have received strong training at a law firm, corporate legal department, or other sophisticated business environment and will be comfortable working primarily in English with U.S.-based attorneys and clients.
You will work directly with Avid.law attorneys on transactions involving startups, investors, private companies, founders, and strategic acquirers. The role is well suited for a lawyer who enjoys transactional work, is highly organized and detail-oriented, and can take ownership of important components of a transaction while working collaboratively with supervising U.S. counsel.
What You’ll Do
- Assist with mergers and acquisitions from diligence through closing, working closely with Avid.law attorneys, clients, opposing counsel, and other transaction participants.
- Conduct and manage legal due diligence, including reviewing corporate records, material contracts, capitalization information, financing documents, intellectual property matters, employment arrangements, litigation and other transaction materials; identifying material issues; and helping organize and communicate diligence findings.
- Assist with the preparation, review, and management of disclosure schedules, including coordinating information requests with clients, reviewing supporting documentation, identifying required disclosures, and maintaining schedules throughout the transaction process.
- Take an active role in transaction and closing coordination, including maintaining transaction checklists, tracking open items, coordinating signatures and closing deliverables, organizing execution versions, communicating with deal participants, and assisting with signing, closing, and post-closing matters.
- Draft, review, and revise M&A transaction documents and ancillary agreements, including resolutions, consents, certificates, joinders, releases, assignment documents, and other closing deliverables.
- Support venture capital and private financing transactions, including financing documentation, capitalization matters, due diligence, closing deliverables, and transaction management.
- Draft, review, and revise corporate and commercial agreements, including NDAs, consulting and services agreements, licensing agreements, shareholder agreements, operating agreements, and other business contracts.
- Assist with corporate governance matters, including board and shareholder approvals, consents, resolutions, organizational documents, and corporate recordkeeping.
- Review and organize data rooms, capitalization tables, corporate records, contracts, and other transaction materials.
- Coordinate transaction processes among clients, opposing counsel, investors, accountants, and other advisors.
- Conduct legal and transactional research and prepare concise, commercially focused analyses for the Avid.law team.
- Participate in client and deal-team calls conducted in English.
- Manage multiple active transactions and workstreams while maintaining high standards for accuracy, responsiveness, organization, and follow-through.
What We’re Looking For
- Qualified lawyer in Spain, with the ability to practice law in Spain.
- Approximately 4+ years of relevant corporate or transactional experience, although we are open to candidates at different experience levels with strong training.
- Experience at a respected corporate law firm, international law firm, Big Four/legal services organization, or sophisticated in-house legal department.
- Strong foundation in general corporate law, commercial contracts, M&A, venture capital, private equity, financing transactions, or a combination of these areas.
- Experience with transactional due diligence, disclosure schedules, and transaction/closing management is strongly preferred.
- Excellent drafting, analytical, organizational, and project-management skills.
- Full professional fluency in English, including the ability to draft legal documents, communicate with clients, and participate confidently in negotiations and video conferences in English.
- Ability to work independently, exercise sound judgment, identify issues, and take ownership of assigned workstreams.
- Commercial mindset and an interest in understanding the business considerations behind a transaction, not simply the legal documentation.
- Exceptional attention to detail and the ability to manage multiple deadlines in a fast-moving remote environment.
- Collaborative, responsive, and comfortable working closely with a U.S.-based team across time zones.

Admission to practice law in Spain is required. A U.S. J.D. and U.S. bar admission are not required. Familiarity with U.S. corporate transactions is helpful but not necessary. We are more interested in strong legal training, excellent judgment, attention to detail, and the ability to learn U.S. transactional practices quickly.
