Show job description

The General Counsel serves as Finit's primary in-house legal advisor and owns the day to-day legal matters that arise across the business. This is a hands-on role for an attorney who combines strong legal judgment with practical business understanding and can independently move matters through resolution. The General Counsel will take ownership of work that today frequently requires executive attention, including commercial contracts, employment questions, risk issues, corporate matters, and outside counsel coordination. The role is expected to translate legal risk into clear options and commercially sound recommendations that allow the business to move, while improving how legal work gets done through practical standards, templates, and decision frameworks.

Responsibilities:

  • Commercial contracts and client matters
    • Own the drafting, review, and negotiation of client agreements, master services agreements, statements of work, nondisclosure agreements, vendor agreements, subcontractor agreements, technology agreements, and other commercial contracts.
    • Work directly with clients, procurement teams, and opposing counsel to resolve contractual issues and negotiate practical positions on liability, indemnification, intellectual property, confidentiality, acceptance, payment terms, insurance, data protection, and related commercial provisions.
    • Support amendments, terminations, contract disputes, scope or performance issues, and other situations where Finit needs to understand and protect its contractual rights while preserving important business relationships.
    • Maintain and improve Finit contract templates, preferred positions, fallback language, and negotiation guidance so common issues can be handled consistently and efficiently.
  • Business advice and risk
    • Serve as the primary internal contact for day-to-day legal questions, prioritize competing matters, and drive issues through resolution with limited executive oversight.
    • Translate legal issues into clear business options and recommendations, distinguishing material risks from issues that can be resolved pragmatically.
    • Advise on matters involving intellectual property, confidentiality, privacy and data protection, artificial intelligence and emerging technology, insurance, compliance obligations, and other legal risks that arise in Finit operations and client work.
    • Identify recurring or emerging areas of risk and recommend practical changes to policies, contracting practices, controls, or business processes before issues become larger problems.
  • Employment and people matters
    • Partner with People & Culture and leadership on employment agreements, restrictive covenants, policies, sensitive personnel matters, separations, and other employment-related questions, including drafting related letters, releases, waivers, and agreements.
    • Recognize when a matter requires specialized employment counsel, engage the appropriate resource, and translate specialist advice into practical next steps for Finit.
  • Corporate, governance, and strategic matters
    • Support corporate governance, entity management, corporate records, delegations of authority, and other legal requirements associated with operating and growing the business.
    • Provide legal support for strategic initiatives, partnerships, organizational changes, and transactions, coordinating specialized tax, ESOP, regulatory, or other advice as needed.
    • Assist with claims, disputes, governmental or regulatory inquiries, and other significant matters, helping leadership assess exposure, strategy, and the appropriate path to resolution.
  • Outside counsel and legal operations
    • Determine when outside expertise is warranted, engage the appropriate counsel, manage scope and cost, and convert outside advice into clear actions for the business.
    • Build practical legal intake, prioritization, tracking, and approval processes that make ownership clear and reduce the number of routine legal matters requiring executive involvement.
    • Develop templates, playbooks, guidance, training, and thoughtful use of technology that make recurring legal work faster, more consistent, and easier for the business to navigate.

Qualifications:

  • J.D. from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction, with the ability to serve as in-house counsel in Ohio.
  • Generally 10+ years of relevant legal experience, including meaningful responsibility for commercial contracts and general business matters and significant in-house or embedded-counsel experience.
  • Strong commercial contracting background, preferably supporting consulting, professional services, technology, software, or a similar business with complex client and vendor agreements.
  • Experience advising senior leaders with sound judgment, risk calibration, and commercial context, including decisions where the legal answer is only one part of the equation.
  • Working experience with employment matters and the ability to handle or appropriately escalate the people-related legal questions that arise in a growing business.
  • Familiarity with intellectual property, confidentiality, privacy and data protection, corporate governance, compliance, and other common in-house legal matters, including effective use of specialized outside advisors.
  • Cincinnati-area base and availability for regular collaboration with Finit leadership. Experience with employee-owned companies or ESOP structures is helpful but not required.

Skills:

• Strong business judgment, risk calibration, and executive communication, with the ability to focus attention on what genuinely matters and recommend a practical path forward.
• Excellent contract drafting and negotiation skills, including the ability to explain why a provision matters and propose a practical path to resolution.
• Ability to move comfortably between strategic advice and detailed legal work, prioritizing effectively and personally owning matters through resolution.
• Collaborative and approachable working style that builds trust while maintaining independence, discretion, and professional judgment.
• Process design mindset, with the ability to turn recurring legal questions into clear standards, templates, and workflows that others can use.
