Overview : We are seeking an Interim or Interim to Permanent AGC, Corporate & Compliance to work in the global AEC (Architecture, Engineering, and Design) industry. Company: A global consulting, design, and construction services firm within the AEC sector. Experience: 5-7+ years of experience with Compliance Programs, Governance, and Board Management within an in-house legal team, and preferably within the AEC industry Location: Remote with travel Responsibilities Include: The AGC, Corporate & Compliance will report to the CLO, and will involve cross-functional collaboration between Compliance, Clients, Boards, Finance, and Legal. The Assistant General Counsel, Corporate & Compliance will provide high-level legal support to the Chief Legal Officer across corporate governance, board administration, entity management, and strategic transactional work. This role enables the CLO to fully manage the legal department operations and focus on executive-level and strategic objectives while ensuring the legal function executes core corporate priorities with rigor, responsiveness, and precision. The ideal candidate is organized, proactive, and comfortable managing a diverse portfolio of corporate legal responsibilities in a fast-scaling business. Direct Support to the Chief Legal Officer Serve as a primary legal resource to the CLO on corporate governance, corporate transactional execution, and corporate housekeeping matters. Assist the CLO in preparing materials, analyses, and documentation for executive leadership, the board, and external stakeholders. Conduct research, draft presentations, and help manage workflows to advance legal department initiatives. Corporate Governance & Records Management Assist with the maintenance of all corporate books, minutes, resolutions, and governance records. Assist with drafting and updating foundational governance documents, including bylaws, charters, and written consents. Ensure governance practices align with best-in-class standards and prepare for audits, diligence, and investor requests. Board & Committee Support Operate as Assistant Secretary for the Board as directed by the CLO. Assist the CLO with preparation of board and committee meeting materials, including agendas, minutes, resolutions, and annual calendars. Coordinate with internal teams and the CLO to ensure timely information flow to directors and committee members. Support the CLO in managing director onboarding, annual evaluations, and governance processes. Compliance Program Development & Management Assist in developing, implementing, and managing the company’s compliance program under the direction of the CLO. Draft and maintain compliance-related policies, procedures, controls, and training materials. Monitor compliance obligations across business units and escalate issues as needed. Support internal investigations, audits, risk assessments, and compliance reporting. Serve as a resource to business teams on compliance requirements and best practices. Entity Management Manage domestic and international entity formation, qualification, maintenance, and dissolution. Coordinate and track the filing of annual reports, licenses, and jurisdictional compliance requirements. Maintain accurate organizational charts and legal entity profiles. Commercial & Internal Policy Support Provide commercial contract drafting and review support to reduce bottlenecks and maintain consistency with corporate standards. Assist the CLO in developing internal corporate policies and supporting adherence to governance and operational standards. Support risk evaluation and issue spotting across internal processes and commercial activities. Qualifications Include: JD from an accredited University, active and in good standing to practice law in the U.S. 5-7+ years of in-house legal experience working with Compliance teams, Governance, Board Management, and Corporate/Commercial matters 5+ years of in-house legal experience cross-collaborating between Legal, Private Clients, and internal Board members Demonstrated expertise and experience within the AEC industry (Architecture, Engineering, and Construction) Pay rate: $100+ Individual compensation offered for this position within the pay range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.
