About the Role
First Stop Health is seeking an experienced Interim Commercial Counsel to provide temporary legal support for high-volume client contracting in a fast-paced, growing telemedicine organization.
This individual will be responsible for drafting, reviewing, and negotiating a variety of commercial agreements, with a primary focus on employer/client contracts, purchase orders, business associate agreements (BAAs), data processing agreements (DPAs), and related privacy and security provisions.
The ideal candidate brings substantial in-house commercial contracting experience, strong negotiation skills, and a practical, business-minded approach to managing legal risk. Experience within healthcare, digital health, or employee benefits is important, and familiarity with MSO-PC structures is strongly preferred.
This role will partner closely with our General Counsel, Contracts Administrator, sales directors, business leaders, and cross-functional teams to support timely contract execution while protecting First Stop Health's business interests.
Key Responsibilities
- Draft, review, and negotiate commercial agreements, including employer/client contracts, purchase orders, BAAs, DPAs, and related contractual documents. Timely response to prospective client redlines is essential.
- Review and negotiate privacy, data security, confidentiality, and other provisions relevant to healthcare and telemedicine services.
- Identify and assess contractual risks, recommend practical solutions, and ensure alignment with applicable legal and regulatory requirements.
- Partner with the General Counsel, sales directors, and internal stakeholders to facilitate timely contract review, negotiation, and execution.
- Advise business leaders on contract terms, obligations, and potential legal or operational implications.
- Coordinate with cross-functional teams, including Sales, Client Success, Finance, Technology, and Compliance, to resolve contractual issues.
- Maintain organized contract documentation and support efficient contract management processes.
- Manage multiple contracting priorities and deadlines in a high-volume, fast-paced environment.
Qualifications
Required:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with a U.S. state bar.
- Substantial experience drafting and negotiating commercial contracts, including meaningful in-house legal experience.
- Experience supporting commercial contracting within healthcare, digital health, employee benefits, or a closely related industry, working with a dynamic sales team in a fast-paced environment.
- Strong understanding of commercial contract terms, risk allocation, confidentiality, and privacy/security considerations.
- Experience negotiating complex agreements with clients, vendors, and other business partners.
- Excellent written and verbal communication skills, with the ability to explain legal concepts and risks to non-legal stakeholders.
- Strong attention to detail, organizational skills, and the ability to independently manage competing priorities.
- Practical, solutions-oriented approach to negotiations and problem-solving.
Preferred:
- Familiarity with Management Services Organization–Professional Corporation (MSO-PC) structures.
- Experience negotiating BAAs, DPAs, and healthcare-related privacy and security provisions.
- Experience supporting employer-sponsored healthcare, virtual care, or telemedicine organizations.
- Prior experience providing interim or contract legal support in a high-volume commercial contracting environment.
This is a temporary contract opportunity anticipated to continue through approximately December 31, 2026, to January 15, 2027, depending on business needs.
