Overview : We are seeking an Interim International Subsidiary Governance Paralegal to work cross functionally with international business in supporting corporate governance and entity management Company: Well-known global, publicly traded organization Experience: 5-8+ years of experience working cross-functionally within a legal team, with international business leaders, and external counsel supporting governance, compliance, and transactions involving international subsidiaries Location: Remote Responsibilities Include: Working at the direction and discretion of the Client’s AGC of Corporate Governance, this role will support the international subsidiaries' corporate governance and legal entity management team by: Partner with Accounting, Tax, Treasury, international Legal & Compliance, and international business leaders, as well as external legal counsel and corporate secretarial providers, to support governance, compliance, and strategic transactions involving international subsidiaries Draft, review, and coordinate corporate governance documentation, including board and shareholder resolutions, minutes, written consents, powers of attorney, and director and officer appointments and resignations Coordinate annual general meetings of shareholders, board meetings, statutory financial statement approvals, and related governance activities Maintain corporate records, minute books, governance databases, organizational charts, and legal entity management systems Coordinate annual corporate maintenance activities, including annual reports, statutory filings, and regulatory registrations through local service providers and external counsel Manage KYC, UBO, and due diligence requests, including collecting and providing corporate records and supporting documentation to banks, auditors, and regulatory authorities Support international corporate transactions, including entity formations, liquidations, mergers, acquisitions, and restructurings Monitor governance obligations and corporate maintenance requirements, and support implementation of corrective actions and governance best practices Qualifications Include: 5-8+ years of experience working cross-functionally within a legal team, with international business leaders, and external counsel supporting governance, compliance, and transactions involving international subsidiaries 5-8+ years of experience drafting, reviewing, and coordinating governance documentation Clear understanding of overall governance, maintenance, organization, recordkeeping, and coordination of entity management within entity systems Clear understanding of international corporate transactions and best practices Pay rate: $50-$60/hr Individual compensation offered for this position within the pay range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.
