We are looking for a Junior Funds Paralegal to join our legal operations, fund formation structure charts team remotely from South Africa. In this role, you will work under the Senior Funds Lawyer to manage and maintain structure charts for clients in the private equity and corporate M&A space across our APAC and US jurisdictions. You will review and verify corporate formation documents, investor agreements, and ownership records to ensure our charts and documentation accurately reflect current corporate structures and comply with applicable regulatory requirements.
You will also work closely with Scissero's Product team, who are responsible for automating standard fund-formation and structure-chart processes using AI tools. You will help test, refine, and roll out these tools within the structure chart workstream, applying your own hands-on experience of the documentation to make automation genuinely useful in practice.

Key Responsibilities
Structure Chart Drafting & Maintenance: Design, build, and maintain precise corporate structure charts for private equity and corporate M&A clients across APAC and US jurisdictions, ensuring they accurately represent current ownership and corporate linkages.
Document Verification and Analysis: Analyse and verify corporate formation documents and shareholder registers to establish ownership across various legal entities.
Investor & Transaction Documentation: Review and verify information in investor agreements and related transaction documentation to support private equity funds' compliance with applicable securities laws.
Client and Team Coordination: Collaborate with clients and the Fund Formation & Structure Chart team, including colleagues across APAC and US time zones, to compile essential data for the creation and ongoing updates of structure charts.
Product & AI Tooling Collaboration: Partner with Scissero's Product team to test, provide feedback on, and help refine the AI-enabled tools used to automate structure chart preparation and other standard fund-formation processes. Identify repetitive or manual tasks in the structure chart workflow that are good candidates for automation, and support the rollout of new tools once built.
Management Collaboration: Partner with the Senior Funds Lawyer and wider management to keep all diagrams current and in compliance with the latest legal standards.
Project Monitoring and Reporting: Monitor project timelines, maintain trackers and weekly progress reports, and communicate updates to clients and the Senior Funds Lawyer.
Legal Documentation Support: Support the drafting, reviewing, and management of legal documentation for corporate transactions. Handle the preparation, filing, and management of business entity documents with the relevant jurisdictional authorities for corporations, LLCs, and partnerships.
Compliance and Efficiency: Ensure strict adherence to legal compliance and regulations across the jurisdictions you support. Use legal software and AI-enabled tools to improve the efficiency and precision of chart preparation.
Skills and Qualifications Required:
No specific legal qualification or funds experience is required; a law degree, paralegal qualification, or background in company secretarial, fund administration, KYC, or governance support work is helpful but not essential.
Willingness and ability to learn corporate structures, entity documentation, and fund-formation processes on the job.
Robust knowledge of corporate structures, legal entities, and their interconnections across multiple jurisdictions.
Exceptionally organised, with an impeccable eye for detail and pride in producing accurate, well-structured documentation.
Genuinely enjoys putting documentation together and is comfortable with the repetitive, iterative nature of structure chart and document maintenance work.
A real interest in how AI tools can make legal documentation processes more efficient and enthusiasm for helping test and adopt new tools as they're developed.
High proficiency in Microsoft Office, particularly Excel and PowerPoint, along with familiarity with legal management software.
Strong analytical skills and problem-solving acumen.
Effective written and verbal communication skills and comfortable liaising with colleagues and clients across different jurisdictions and time zones.
Ability to function both autonomously and collaboratively within a distributed, global team.
Dedicated to upholding strict confidentiality in all legal and client dealings.
Prior experience with investment funds operations and structures, ownership-structure review, or M&A due diligence is not necessary but would be highly valuable in this role.
