Alpinum Solutions is the leading Alternative Legal Service Provider (ALSP) in Switzerland, Germany and Liechtenstein, specializing in Interim Legal & Compliance workforce solutions for complex mandates.

For our client, an international ICT company, we are seeking an experienced Legal Counsel to support the legal team during a global carve-out and post-acquisition integration project.

Key Responsibilities:

• Review, analyse and negotiate global vendor and supplier agreements
• Identify contractual risks, liabilities and legal red flags
• Advise the business on commercial and procurement-related legal matters
• Support the novation, assignment and separation of contracts as part of the carve-out
• Provide legal support throughout the post-closing integration process
• Collaborate closely with procurement, business stakeholders and external counsel where required
• Ensure pragmatic, business-oriented legal advice in a fast-paced international environment

Experience & Qualifications:

• 3–5 years of post-qualification experience as Legal Counsel or Commercial Lawyer
• Strong background in drafting, reviewing and negotiating commercial and vendor agreements
• Experience supporting procurement and supplier contracting
• Hands-on experience with contract transitions, including assignments and novations, is highly desirable
• Exposure to M&A transactions, carve-outs or post-merger integrations is an advantage
• Excellent English drafting, negotiation and communication skills
• Able to work independently while partnering effectively with business stakeholders
