Your role

As Legal Counsel, you will join Droia’s legal team and contribute to the day-to-day work of both our funds and portfolio companies. Your remit will span transactions, finance, tax, governance, regulatory matters and commercial agreements. Working closely with colleagues across the business, you will turn legal analysis into clear, practical advice.

Fund operations

  • Advise on and manage legal matters relating to fund formation, fundraising and fund management.
  • Support day-to-day fund operations, including corporate governance, corporate housekeeping, regulatory, tax and compliance matters.
  • Work closely with our compliance, finance and HR teams to address legal questions and support business needs.

Investments and portfolio companies

  • Support international venture capital transactions, from due diligence and company formation to investments and exits.
  • Assist portfolio companies with their fundraising activities.
  • Advise portfolio companies on day-to-day legal matters, including contract reviews, negotiations and corporate housekeeping.
  • Draft, review and negotiate commercial agreements, including collaboration, licensing, research, consulting, confidentiality and material transfer agreements.

What you bring

  • A degree in corporate law and 3–5 years of experience at a leading Belgian or international law firm, with a focus on M&A, including venture capital and/or private equity, and general corporate law.
  • Native-level proficiency in Dutch and fluency in English, both written and spoken, with the ability to communicate legal advice clearly.
  • A collaborative approach, combined with the confidence and initiative to work independently.
  • Strong organisational skills, sound prioritisation and close attention to quality and detail.
  • A practical, proactive mindset and a willingness to take ownership and move matters forward.
  • An interest in continuing to build your expertise across areas such as tax, intellectual property and regulatory law.
  • Knowledge of tax law and additional experience as in-house counsel are advantages.
