For our latest exciting assignment, we are looking for an experienced and motivated Legal Counsel to join our client's team in Switzerland.

Key Responsibilities

• Draft, review, negotiate and manage a broad range of commercial agreements, including software licences, services, consulting, subcontractor and project-specific contracts as well as NDAs.
• Lead and support major tenders and government contract negotiations, review tender documentation against internal standards, and assess contractual and commercial risk.
• Advise business stakeholders across multiple jurisdictions on day-to-day legal and regulatory matters, balancing legal protection with commercial practicality.
• Support M&A transactions through due diligence, transactional documentation, closing activities and post-acquisition legal integration.
• Assist with corporate legal administration, including board minutes, resolutions, regulatory filings, policy development, training and related documentation.
  
  

Experience And Qualifications

• Several years of experience in an international law firm or in-house legal department, with strong exposure to commercial contracting.
• Proven ability to draft, review and negotiate complex commercial agreements and to handle public procurement matters, major tenders and government contracts.
• Strong US legal experience and the ability to advise across jurisdictions in an international business environment.
• Licensed attorney status is preferred, ideally with admission in at least one US state and/or a Latin American country.
• Independent, well-organised and commercially minded approach, with the ability to manage multiple priorities, conduct practical legal research and work effectively with international stakeholders.
• Bilingual English and Spanish are preferred.
• Desirable: M&A transaction support, including due diligence and post-close integration
• Desirable: Experience in software, technology or telecommunications
