M&A/PE Associate

About the Role

Join the corporate practice of a regional business law firm as an M&A/PE Associate. You will lead transactions from due diligence through closing while advising clients on general corporate matters and working closely with partners in a lean team.

What You'll Do

• Run mergers and acquisitions from initial due diligence through negotiation and closing.

• Draft and negotiate purchase agreements, merger agreements, financing documents, and related transaction materials.

• Manage due diligence processes and support private equity sponsors and portfolio companies throughout the investment lifecycle.

• Advise clients on entity formation, corporate structuring, compliance, and ongoing business matters.

• Work directly with clients and partners, managing multiple matters and taking responsibility for deal execution.

What We're Looking For

• Four to eight years of M&A and private equity transactional experience in a law firm, including the ability to independently run deals.

• A Juris Doctor degree and admission to practice law in Missouri, or willingness to obtain Missouri licensure.

• Experience with private equity-sponsored transactions, due diligence, and drafting and negotiating purchase or merger agreements.

• Strong client service, attention to detail, and ability to manage multiple matters in a law firm environment.

• General corporate experience; debt financings, equity structuring, or cross-border transactions are also relevant.

• Authorization to work in the United States, as visa sponsorship is not available.

Compensation & Benefits

Base salary range: $205,000 to $285,000 annually. Visa sponsorship is not available.

Location

Hybrid role based in St. Louis, Missouri, with four days per week in the office.
