OVERVIEW

Canon Medical Systems USA, Inc. is seeking a highly organized and detail-oriented paralegal to support the Legal department in managing a broad range of commercial contracting and legal operations activities. This role will be responsible for drafting, reviewing, negotiating, and administering routine legal agreements, coordinating contract workflows, supporting healthcare compliance processes, and maintaining contract records. The ideal candidate will have experience working with commercial agreements in a regulated industry and possess strong analytical, communication, and project management skills.

RESPONSIBILITIES

  • Commercial Contracting
    • Draft, review, negotiate, and manage routine commercial agreements, including:
      • Non-Disclosure Agreements (NDAs)
      • Business Associate Agreements (BAAs)
      • Equipment loan agreements
      • Amendments and other ancillary commercial documents
      • Identify legal and business risks in contracts and escalate issues to supervising attorney(s) as appropriate.
      • Support contract negotiations by coordinating with business stakeholders and counterparties.
      • Help design updated contract management system for vendor agreements.
      • Support efforts to roll-out contract review and management software for commercial agreements.
  • Contract Management and Legal Operations
    • Administer the company's contract lifecycle management process from intake through execution and archiving.
    • Maintain contract templates, playbooks, and standard contract language.
    • Ensure executed agreements are properly stored and maintained in company contract repositories.
    • Generate reports and metrics related to contract activity and turnaround times.
    • Assist with legal department process improvements and documentation initiatives.
  • Healthcare Compliance and Business Support
    • Review and process sponsorship, educational grant, and charitable contribution requests in accordance with company policies and applicable legal requirements.
    • Support the administration of Business Associate Agreements and other healthcare-related contractual arrangements.
    • Assist with documentation and recordkeeping related to healthcare compliance activities.
    • Serve as a point person who connects with business stakeholders with respect to contracting matters.
    • Assist attorneys with special projects, audits, investigations, and other legal matters as needed.

QUALIFICATIONS

  • Experience reviewing, drafting, or negotiating commercial agreements.
  • Strong organizational skills and ability to manage multiple projects simultaneously.
  • Excellent written and verbal communication skills.
  • Proficiency with Microsoft Office applications and contract management systems.
  • Experience supporting a medical device, pharmaceutical, biotechnology, healthcare, or other regulated industry.
  • Familiarity with Business Associate Agreements and healthcare privacy requirements.
  • Experience with contract lifecycle management (CLM) systems.
  • Knowledge of healthcare compliance programs and commercial contracting practices.
  • Experience collaborating with cross-functional business teams in a corporate environment.

  • Paralegal certificate.
  • 2 Year / Associate's Degree
  • Paralegal certificate, or equivalent combination of education and experience.
  • 3 years experience as a Paralegal, contract administrator, or legal operations experience.
  • This is a remote based position within the USA.
  • Pay information: Min. Salary of $73,200 to Max Salary of $$117,800 (annual equivalency); DOE
