About the Role
Our client, a Tampa, Florida-based law firm specializing in M&A and corporate law, is seeking an experienced Paralegal or Associate to join its team on a part-time, remote basis.
This role will primarily support M&A transactions and corporate matters, with a strong focus on drafting purchase agreements, ancillary transaction documents, disclosure schedules, operating agreements, and supporting deals through execution.
The ideal candidate has hands-on transactional experience, excellent legal drafting skills, strong attention to detail, and is comfortable working independently in a fast-paced remote environment. The firm is also looking for someone who is comfortable with technology and can help identify and implement tools that improve internal efficiency.
Key Responsibilities
- M&A Transaction Drafting: Draft and prepare asset purchase agreements, stock/equity purchase agreements, and other purchase agreements related to M&A transactions.
- Deal Execution: Prepare ancillary transaction documents, disclosure schedules, closing documents, and other materials required throughout the transaction lifecycle.
- Due Diligence: Assist with due diligence review, organization, and other deal-related tasks as needed.
- Corporate Documentation: Draft and prepare operating agreements, corporate governance documents, resolutions, consents, and other corporate documents.
- Transaction Management: Help organize transaction documents, track deadlines and deliverables, and support attorneys through signing and closing.
- Technology & Operations: Identify, implement, and manage legal technology and business tools that can modernize workflows and improve firm efficiency.
- General Legal Support: Assist attorneys with additional corporate and transactional matters as needed.
Qualifications
- 3+ years of relevant experience as a paralegal, legal professional, or associate working in M&A and corporate law.
- Demonstrated experience drafting purchase agreements and operating agreements.
- Experience preparing ancillary transaction documents, disclosure schedules, and supporting M&A closings.
- Strong understanding of corporate transactions and deal processes.
- Excellent written and verbal English communication skills.
- Strong attention to detail and legal drafting capabilities.
- Advanced comfort with legal technology and general business software, including the ability to identify and implement new tools.
- Highly organized, proactive, dependable, and able to work independently.
- Availability for approximately 20 hours per week during U.S. Eastern Time business hours.
