Job Description:
We are looking for an experienced Transactional & M&A Paralegal to support a legal team with mergers and acquisitions, corporate transactions, due diligence, contract review, document preparation, and deal administration.
The ideal candidate will have previous experience supporting lawyers on transactional or corporate matters and be highly organized, detail-oriented, and comfortable managing documentation across multiple active matters. Experience supporting U.S.-based legal teams or U.S. transactional matters is highly desirable.
Responsibilities:
Support lawyers throughout M&A and other corporate transactions, from initial due diligence through closing.
Assist with legal due diligence, including organizing and reviewing corporate records, contracts, organizational documents, and other transaction materials.
Maintain virtual data rooms and organize transaction-related documentation.
Prepare, format, proofread, and manage transactional and corporate legal documents.
Assist with the preparation of closing checklists, signature packets, execution versions, and closing sets.
Track outstanding documents, signatures, deliverables, deadlines, and other transaction requirements.
Assist with contract review and the organization of key contractual information.
Maintain accurate corporate records, deal files, and document databases.
Coordinate with lawyers, clients, and other stakeholders to obtain required documents and information.
Conduct legal and corporate research as required to support transactional matters.
Manage multiple assignments and deadlines while maintaining a high level of accuracy and confidentiality
Qualifications:
Relevant paralegal qualification, legal education, or equivalent professional experience.
Demonstrated experience supporting transactional, M&A, corporate, or commercial legal matters.
Experience with legal due diligence, contract review, transaction documentation, and deal support.
Experience supporting U.S. lawyers, law firms, or U.S. transactional matters is strongly preferred.
Strong document management and organizational skills, with exceptional attention to detail.
Experience preparing, formatting, proofreading, and organizing legal documents.
Ability to manage multiple matters, deadlines, and transaction deliverables simultaneously.
Strong written and verbal English communication skills.
Ability to work independently in a remote environment while collaborating effectively with lawyers and other team members.
Availability to work the client's required working hours. (US Central Time)
