The Real Estate Finance Lawyer will be based in Brio’s London office and will provide legal and execution support to transactional deal teams, with a particular focus on capital markets activity across the UK, Europe and Australia.
This is a new role within a growing business, intended to support the increasing volume and complexity of BREDS’ capital markets activity, including back-leverage, loan-on-loan, repo, syndication, repayment, modification and public financing workstreams. The role will involve managing key aspects of the deal process and document negotiation in connection with secondary capital markets transactions, loan servicing and administration.
The successful candidate will need strong technical legal skills, excellent business judgment and the ability to identify, simplify and communicate risk clearly and commercially. The role will require close partnership with legal, capital markets, asset management, finance, investment and external counsel teams, and will suit a practical, solutions-oriented lawyer who is comfortable operating in a fast-paced, cross-border real estate credit environment.
What You Will Do
Provide day-to-day legal and execution support on capital markets and financing workstreams, including back-leverage, loan-on-loan, repo, syndication, repayment, modification and facility-related matters.
Draft, review and manage confirmation amendments, waivers, syndication documentation, redemption / repayment documentation and related transaction documents.
Analyse consent, amendment and modification requests under back-leverage facilities and help manage related internal and external legal processes.
Support financing syndications, including review of syndication term sheets, side letters, NDAs and related process documentation.
Support public financing transactions, including project management, engagement letter review, risk factors, deal summaries and disclosure support.
Assist with the internal build-out of CMBS / public financing capability, including precedents, process notes, playbooks and reusable templates.
Act as a consistent interface between Brio Legal, BREDS Capital Markets, Asset Management and Finance teams and external counsel.
Help manage recurring capital markets BAU processes, including pipeline updates, financing trackers, legal fee/quote trackers and weekly in-market financing updates.
Support due diligence, KYC, data room, lender and back-leverage provider workstreams, where relevant to capital markets processes.
Partner with investment, capital markets and business teams to identify and explain legal risks in a concise, practical and commercially helpful way.
Supervise and manage external counsel on relevant matters, with responsibility for quality, cost discipline and efficient use of external legal support.
Contribute to broader Brio legal, operational and process improvement initiatives as the legal and execution function continues to scale.
What You Should Have
Essential Requirements
Qualified solicitor in England & Wales (or equivalent jurisdiction), with 3–5 years’ PQE. This range is a guide; candidates with directly relevant experience outside it are encouraged to apply.
Substantive legal experience gained at a leading law firm or in-house team in one or more of the following areas: real estate finance, leveraged finance, structured finance, debt capital markets, securitisation, fund finance, or repo / warehouse financing. Experience in a closely related discipline will also be considered.
Proven ability to draft, review and negotiate complex financing documents, including amendments, waivers, intercreditor and subordination arrangements, syndication documents, and engagement letters. Candidates should be comfortable owning documentation from first draft through to execution.
Excellent drafting and analytical skills, with a demonstrable eye for detail and the ability to manage multiple live transactions simultaneously without compromising quality or accuracy.
Sharp commercial judgment with the ability to identify legal and execution risk, cut through complexity and communicate issues and practical solutions clearly to non-legal stakeholders. This role requires concise, actionable advice rather than exhaustive legal analysis.
Strong organisational and transaction management skills, with the confidence to manage competing priorities across multiple workstreams, stakeholders and deadlines in a fast-paced, deal-driven environment.
The credibility and interpersonal skills to work directly and confidently with senior investment, capital markets, asset management, finance and external counsel teams, acting as a trusted legal partner rather than a support function.
A proactive, self-starting approach with the maturity to take full ownership of defined workstreams, exercise sound independent judgment on day-to-day matters and escalate appropriately on complex or high-stakes issues.
Nice to Have
Direct familiarity with real estate credit structures, including back-leverage, loan-on-loan financing, syndications, CMBS / securitisation or private credit. Prior exposure to these product types is advantageous, though candidates with strong transferable skills from adjacent areas will be considered.
Experience working in or alongside an in-house legal function, with an understanding of how to operate effectively across multiple internal business lines, ideally within a large institutional or alternative asset management environment.
A genuine interest in legal process design and operational infrastructure, including developing precedents, playbooks and reusable templates, and an ambition to help build scalable in-house capability rather than simply executing individual transactions.
Flexibility and willingness to support adjacent legal and transaction workstreams during peak periods, including asset management legal matters and origination support. A broader interest in the commercial real estate credit market will be an advantage.
