Remote | Corporate Attorney (BigLaw Firms) — $140–$400/hour
24-MAGWe are sharing a specialised consulting opportunity for experienced Corporate Attorneys from top-tier U.S. law firms with strong expertise in mergers & acquisitions, corporate law, private equity, capital markets, commercial litigation, and complex transactional matters to contribute to an advanced legal AI training and evaluation project.
Selected professionals will review sophisticated corporate documents and deal structures, assess nuanced legal scenarios, evaluate commercial litigation materials, and provide expert feedback on legal reasoning and drafting quality. The work is designed for attorneys accustomed to high-value transactions and complex corporate matters. No prior experience in AI is required.
Key Responsibilities
Corporate & Transactional Review
- Review and analyse complex corporate documents, contracts, and deal structures
- Evaluate legal materials relating to mergers & acquisitions, private equity, and capital markets
- Identify material legal issues, structural risks, and drafting weaknesses
- Assess whether transaction documentation accurately reflects intended legal and commercial outcomes
- Apply high professional standards to complex corporate-law matters
M&A, Private Equity & Capital Markets
- Analyse sophisticated M&A transactions and related corporate documentation
- Review private-equity structures, agreements, and transactional considerations
- Evaluate capital-markets materials and associated legal issues
- Identify key contractual provisions, transaction risks, and corporate-law implications
- Apply practical judgement from high-value transactional practice
Commercial Litigation Evaluation
- Review commercial litigation materials involving corporate and transactional disputes
- Identify relevant legal principles, procedural considerations, and material factual issues
- Assess legal arguments for accuracy, completeness, and strategic coherence
- Distinguish strong legal reasoning from incomplete or unsupported analysis
- Apply litigation judgement where disputes intersect with corporate transactions
Legal Reasoning & Expert Feedback
- Evaluate legal reasoning, issue spotting, and drafting approaches
- Provide detailed expert feedback on analytical weaknesses and legal inaccuracies
- Explain complex legal issues clearly and concisely
- Support refinement of model outputs through structured commentary
- Maintain consistency and precision across legal evaluation tasks
Legal Dataset & Rubric Development
- Support creation and refinement of corporate-law datasets
- Annotate, categorise, and explain key legal issues
- Collaborate with reviewers to align on rubrics and quality expectations
- Help define standards for accurate and sophisticated corporate-law analysis
- Contribute to consistent evaluation of complex legal outputs
Ideal Profile
- Active licence to practise law in the United States
- Recent experience at a top-tier BigLaw firm, either currently or within approximately the past 3 years
- Strong background in corporate law, mergers & acquisitions, private equity, or capital markets
- Demonstrated expertise in high-value transactional matters
- Experience with commercial litigation is highly valuable
- Strong experience drafting, reviewing, and negotiating complex agreements and legal instruments
- Exceptional attention to detail in legal-document analysis
- Strong written communication and ability to explain sophisticated legal concepts clearly
- Ability to identify legal risks, drafting weaknesses, and issue-spotting gaps
- Comfortable collaborating asynchronously with project managers and reviewers
- Experience with legal data annotation or rubric-based review is advantageous but not required
- No prior AI-training experience is required
Engagement Details
- Independent contractor engagement
- Fully remote
- Compensation: $140–$400/hour
- Work will involve corporate-law analysis, M&A and transactional review, private-equity and capital-markets matters, commercial-litigation evaluation, and legal-data annotation
- Recent BigLaw experience is central to this engagement
- Strong legal drafting, issue spotting, and analytical precision are particularly important
- Project scope, workload, legal subject matter, and evaluation standards may evolve depending on project requirements
- Work must be completed without using confidential or proprietary information belonging to any employer, client, law firm, institution, or other third party
