Remote | Private Equity & Investment Funds Attorney — $90–$130/hour

We are sharing a specialised consulting opportunity for experienced attorneys with deep expertise in private equity, investment funds, M&A, asset management, transactional documentation, contract drafting, and complex legal risk analysis to contribute to an advanced AI training and legal-document evaluation project.

Selected professionals will review and annotate sophisticated transactional agreements, analyse contractual risk, draft sample provisions, assess AI-generated legal content, and provide structured legal feedback across private equity, investment funds, banking, technology transactions, data privacy, cybersecurity, and related corporate matters. The work requires substantial transactional legal experience, precise drafting ability, and strong judgement across complex commercial agreements. No prior experience in AI is required.

Key Responsibilities

Private Equity & Investment Funds

• Review legal matters involving private equity and investment funds
• Analyse fund structures, contractual relationships, and investor-facing documentation
• Apply practical judgement to asset-management and fund-related legal issues
• Evaluate contractual terms for commercial and legal significance
• Identify material legal risks and drafting concerns

Transactional Agreement Review

• Review and annotate complex transactional agreements
• Analyse MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs
• Assess contract language for accuracy, clarity, and commercial impact
• Identify unusual, inconsistent, or high-risk provisions
• Provide structured legal commentary on agreement terms

M&A & Corporate Transactions

• Evaluate M&A-related documentation and legal issues
• Review transaction structures and contractual allocations of risk
• Analyse representations, warranties, covenants, indemnities, and closing provisions
• Identify drafting issues that may affect transaction execution
• Apply practical transactional judgement to complex deal scenarios

Contract Drafting & Negotiation

• Draft sample provisions and alternative contractual language
• Analyse negotiation positions and contract risk
• Identify provisions requiring clarification, revision, or escalation
• Compare alternative drafting approaches
• Support creation of high-quality legal examples for AI training

Banking & Finance Agreements

• Review credit agreements and related banking documentation
• Analyse financing terms and contractual obligations
• Identify legal and commercial risks in finance-related documents
• Evaluate provisions for consistency and enforceability considerations
• Provide clear explanations of complex finance-document structures

Technology & SaaS Transactions

• Review SaaS, cloud-services, and technology agreements
• Analyse technology licensing and service arrangements
• Evaluate commercial, IP, privacy, and security provisions
• Identify risks in technology-contract structures
• Assess agreements involving cloud services and digital platforms

Data Privacy & Cybersecurity

• Review contractual provisions involving data privacy and cybersecurity
• Evaluate DPAs and related privacy documentation
• Identify privacy, security, and data-handling obligations
• Analyse contractual allocation of data-related risk
• Incorporate relevant legal developments into document review where appropriate

Employment, Lease & Commercial Documentation

• Review employment agreements, leases, and other commercial contracts
• Analyse contractual obligations and risk allocation
• Identify ambiguous or problematic provisions
• Compare agreement terms against professional drafting expectations
• Support consistent legal review across varied document types

AI Legal Evaluation & Annotation

• Review AI-generated legal analysis and contractual interpretations
• Annotate legal documents for model-training workflows
• Identify inaccurate legal reasoning or unsupported conclusions
• Evaluate AI-generated clauses and contract summaries
• Provide structured feedback to improve legal model performance

Legal Writing & Knowledge Synthesis

• Explain complex legal concepts clearly and concisely
• Translate specialised transactional issues for varied audiences
• Produce precise legal annotations and written commentary
• Distinguish material legal risks from minor drafting issues
• Support creation of high-quality legal learning materials

Collaboration & Benchmarking

• Collaborate with other experienced legal professionals
• Compare agreement standards and market practices
• Help identify strong examples and common drafting weaknesses
• Contribute to consistent evaluation criteria
• Support quality assurance across legal deliverables

Ideal Profile

• JD from an accredited law school is strongly preferred
• LLM may be considered with exceptional directly relevant experience
• 8+ years of experience in private equity, investment funds, M&A, asset management, or closely related transactional practice
• Significant responsibility for complex commercial and transactional agreements
• Strong expertise with MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs
• Strong contract drafting and negotiation experience
• In-depth understanding of private equity and investment-fund legal matters
• Experience with banking and finance documentation
• Familiarity with technology and SaaS agreements
• Knowledge of data privacy and cybersecurity issues
• Experience with IP and technology licences
• Strong legal risk-assessment skills
• Exceptional legal writing and analytical ability
• Ability to synthesise complex legal concepts for varied audiences
• Strong attention to detail
• Excellent written and verbal communication skills
• Familiarity with emerging technology-contract, privacy, and cloud-services issues is advantageous
• No prior AI-training or model-evaluation experience is required

• Independent contractor engagement
• Fully remote
• Compensation: $90–$130/hour
• Work will involve private equity, investment funds, M&A, transactional document review, contract drafting, legal annotation, banking agreements, technology transactions, data privacy, cybersecurity, and AI-generated legal-content evaluation
• Significant senior transactional-law experience is central to this engagement
• Assignments may involve MSAs, SPAs/APAs, LPAs, DPAs, side letters, NDAs, credit agreements, SaaS agreements, leases, employment agreements, and IP or technology licences
• Project scope, workload, document types, and legal subject areas may evolve depending on project requirements
• Work must be completed without using confidential, privileged, proprietary, client-identifiable, deal-sensitive, non-public, or otherwise restricted information belonging to any client, law firm, investment fund, financial institution, employer, transaction, or other third party
