This role supports advanced AI evaluation work focused on realistic corporate legal workflows. Selected experts will design complex transactional and governance scenarios, develop reference outputs, and create evaluation rubrics that reflect how experienced corporate lawyers approach deal structuring, due diligence, securities matters, regulatory review, and board-level decision-making. Key Responsibilities M&A & Deal Structuring Develop realistic scenarios involving mergers, acquisitions, divestitures, joint ventures, and other complex corporate transactions Create tasks covering deal structuring, negotiation strategy, due diligence, and transaction execution Evaluate transaction structures for legal, commercial, and regulatory considerations Produce reference legal memoranda, transaction analyses, and deal-related documentation Identify material risks, negotiation issues, and weaknesses in proposed transaction approaches Securities & Capital Markets Develop scenarios involving securities offerings, public-company reporting, and capital-markets transactions Apply relevant securities laws, disclosure requirements, and regulatory frameworks Evaluate filings, disclosures, transaction structures, and investor-facing materials Assess AI-generated legal reasoning for accuracy, completeness, and commercial relevance Produce reference analyses reflecting senior-level securities and capital-markets judgement Corporate Governance Create tasks involving board responsibilities, shareholder rights, fiduciary duties, and corporate decision-making Apply frameworks such as the Delaware General Corporation Law, Model Business Corporation Act, UK Companies Act 2006, or relevant EU company-law rules Develop scenarios involving board approvals, shareholder actions, governance disputes, and corporate policies Evaluate governance recommendations for procedural and substantive soundness Produce reference board, shareholder, and governance-related materials Commercial Contracts & Transaction Documentation Develop scenarios involving complex commercial agreements and transaction documents Review contractual provisions for allocation of risk, obligations, remedies, and commercial impact Create reference transaction documents, contract analyses, and negotiation positions Evaluate AI-generated drafting and contract interpretation for legal precision and practical usability Identify missing protections, inconsistent provisions, and material drafting risks Corporate Restructuring & Regulatory Review Create tasks involving corporate restructuring, reorganisations, and related strategic transactions Assess regulatory approval processes, including SEC review, antitrust considerations, HSR filings, or international equivalents where relevant Evaluate how regulatory requirements affect transaction structure and timing Develop reference regulatory-facing narratives and transaction analyses Assess interactions between legal requirements, board oversight, shareholder interests, and commercial objectives Legal Research & Transaction Tools Develop scenarios involving legal research platforms such as Westlaw and Lexis Apply familiarity with virtual data rooms such as Intralinks, Datasite, or comparable platforms Create tasks involving contract lifecycle management and document automation systems Structure complex transactional information into clear, professional legal outputs Evaluate whether conclusions are appropriately supported by relevant authority and transaction evidence AI Evaluation & Rubric Development Design expert-level evaluation tasks across corporate law and transactional workflows Draft reference outputs demonstrating authentic senior-level corporate legal judgement Develop rubrics that distinguish professional legal reasoning from generic academic or examination-level responses Review AI-generated outputs for legal accuracy, commercial awareness, and practical relevance Identify subtle reasoning errors, incomplete analyses, and unrealistic transaction recommendations Provide clear written rationale supporting evaluation decisions Ideal Profile 5+ years of professional experience in corporate law, M&A, securities, capital markets, corporate governance, or a closely related field Senior-level experience as a Corporate Attorney, Corporate Counsel, General Counsel, M&A Attorney, Securities Counsel, or comparable legal professional Experience within a major law firm, investment bank, large corporation, or sophisticated in-house legal department Direct ownership of M&A transactions, securities filings, governance matters, commercial agreements, or complex corporate transactions Strong understanding of deal structuring, due diligence, regulatory review, and corporate governance Familiarity with US corporate-law frameworks, UK or EU company law, or a combination of these Experience working with regulatory approvals, board and shareholder processes, and transaction documentation Strong written communication and ability to explain complex corporate legal reasoning clearly and precisely JD with bar admission or an equivalent recognised international legal qualification is strongly preferred Experience developing legal training materials, transaction documentation, evaluation rubrics, or professional review
