Role Description The Secretary to the Board of Directors is a part-time hybrid role based in Melbourne, VIC, with a mix of in-person attendance at board and committee meetings and some work from home. The role is responsible for preparing board agendas, coordinating meeting logistics, compiling and distributing papers, and recording accurate minutes and actions. The Secretary maintains board records, governance registers, and key documentation, ensuring compliance with legal, regulatory, and internal policy requirements. Day-to-day tasks include supporting the Board Chair and directors with governance processes, tracking decisions and follow-up actions, and facilitating timely communication between board members and senior leadership. The role may also assist with stakeholder correspondence, government and community liaison, and public-facing communications related to board activities and organizational governance.

Qualifications

  • Demonstrated experience supporting or serving on a Board of Directors, with an understanding of board roles, responsibilities, and meeting procedures.
  • Strong knowledge of Corporate Governance principles, regulatory frameworks for not-for-profits, and best practices in board administration.
  • Experience in Strategic Planning, including contributing to organizational strategy, reviewing plans, and tracking progress against key objectives.
  • Skills in Public Relations and stakeholder engagement, with the ability to communicate clearly and respectfully with community members, partners, and media.
  • Familiarity with Government processes, including engagement with public agencies, funding bodies, and relevant policy environments.
  • Excellent written communication skills, including minute-taking, document drafting, and maintaining accurate records.
  • Strong organizational and time-management skills, with attention to detail and the ability to manage multiple board deadlines.
  • Proficiency with standard office and collaboration tools (e.g., word processing, spreadsheets, video conferencing, shared drives).
  • Experience or demonstrated commitment to working with LGBTQIAPN+ communities and an understanding of intersectional inclusion and cultural safety.
  • Relevant tertiary qualifications in governance, law, business, public administration, or nonprofit management are beneficial but not essential.
