The Team Our global corporate and advisory group supports a broad range of clients on all their legal requirements, from corporate, banking & finance, commercial, employment, IP to IT/Tech. The Role This role offers the successful candidate a fantastic opportunity to join a dynamic corporate team. You will be working directly with clients, supporting the partners with a variety of matters across their multifaceted client group. The role sits within a team based across our London and Guildford offices. Candidates will need to be willing either to be based in Guildford or to travel there regularly, with attendance at the London office also required as part of the role. Key Responsibilities The successful applicant will play a senior role within the team, taking ownership of smaller matters and workstreams, and co-leading larger transactions alongside partners and other senior lawyers. Key responsibilities will include: leading, or co-leading, corporate transactions and advisory matters, including private M&A, joint ventures, investments, reorganisations, restructurings, corporate governance and related commercial arrangements; taking responsibility for drafting, reviewing and negotiating transaction documents and suites of documents, ensuring that agreements work effectively together and reflect the commercial deal agreed between the parties; exercising sound judgement in identifying legal and commercial issues, assessing risk, proposing practical solutions and escalating matters appropriately where partner input is required; managing matter delivery, including transaction process, timetable, due diligence, disclosure, conditions, completion deliverables, specialist input, cost awareness and overall project management; working directly with clients and counterparties, building trusted relationships, communicating clearly on key issues and helping clients make well-informed commercial decisions; supervising, delegating to and developing more junior lawyers, including reviewing their work product, providing constructive feedback and supporting high-quality matter execution; co-ordinating effectively with colleagues across sectors, specialist teams and offices, including on multi-jurisdictional matters, to deliver seamless service to clients; and contributing to the ongoing growth and profile of the corporate team, including through client development, knowledge sharing and the continued improvement of team processes. Essential Skills & Experience 5– 10 PQE with previous experience working within a comparable corporate and commercial team. Please note that our PQE levels are a guide and all suitable candidates will be considered. The Solicitors Act 1974 requires practicing solicitors to have a practising certificate. All solicitors and registered European lawyers in legal practice or employment in England & Wales must comply with the requirements of the Solicitors Regulation Authority's continuing professional development scheme (CPD Scheme). The ideal candidate will display excellent legal ability and initiative, strong technical skills as well as confidence in managing and prioritising a full and varied workload. They will be a strong communicator with good attention to detail. The ideal candidate will be proactive and have a good teamwork ethic, with a willingness to assume responsibility.
