Position Overview: We are seeking a Senior Corporate Counsel with deep experience in Business Process as a Service (BPaaS) and outsourced business operations to serve as a strategic legal partner to our BPaaS lines of business. A successful candidate has structured and negotiated complex BPaaS, business process outsourcing (BPO), or managed services arrangements, and understands the unique risk allocation, service-level, and regulatory considerations those engagements require. This person will have substantial responsibilities with daily impact in adding to the forward momentum of HealthEdge’s growth, and will serve as a senior legal advisor on our highest-value, highest-complexity BPaaS transactions. In this role, you will have responsibility for providing legal advice and counsel in support of a dynamic, fast-paced BPaaS and SaaS business. About Center of Excellence: Centers of Excellence (COE) are teams whose primary goal is to provide expertise in a specific field. COEs will usually provide support through training, research, and skilled leaders. In the case of HealthEdge, our Centers of Excellence incorporate the Human Resources, IT, Legal and Financial fields, all of which provide support to our Product divisions and allows the enterprise to move forward and achieve its goals. Your Impact: Provide practical, business-oriented legal advice, counsel and recommendations to sales professionals and other stakeholders on numerous legal and business issues Draft, review, negotiate and close commercial contracts, including BPaaS master services agreements (MSAs), statements of work (SOWs), SaaS subscription contracts, license and services agreements, service orders, and related documents with customers, partners, resellers, data licensors and vendors Serve as lead counsel on BPaaS and business process outsourcing (BPO) engagements, including delegated administration and managed services arrangements — advising on service level agreements (SLAs), risk and liability allocation, data ownership and portability, and termination/transition provisions Coordinate with other groups (Finance, Marketing, Professional Services, Security, IT and others) in commercial contracting matters to support company policies and procedures Monitor and provide guidance on data privacy, delegated-function, and other applicable laws and regulations relevant to BPaaS and outsourced business operations (including delegation and accreditation requirements such as URAC and NCQA), as part of our global compliance program Provide legal support related to acquisitions and strategic alliances, including due diligence reviews and negotiations of purchase and sale agreements Create and maintain standard templates, including BPaaS MSA and SOW templates, business processes and internal policies to help scale the business Interface with and manage support from outside counsel What You Bring: 7-10 years of commercial law experience, including work in a large law firm or in-house at a technology or BPaaS/outsourced-services company; candidates with comparable backgrounds will be considered. Demonstrated experience structuring, negotiating, and closing BPaaS, business process outsourcing (BPO), or managed services agreements, including SLAs, delegated functions, risk and liability allocation, and data rights Familiarity with regulatory and accreditation requirements applicable to delegated or outsourced business functions in healthcare or another highly regulated industry (e.g., URAC, NCQA, state delegation/TPA requirements) Ability to work independently to draft and close complex BPaaS and commercial agreements with minimal support from senior staff, and to advise less-experienced legal team members on BPaaS deal structuring Strong organizational and interpersonal skills, including ability to work effectively within a distributed team and a fast-paced business environment Self-motivation and the ability to thrive in a fast-paced environment The ability to tackle a variety of legal issues with a proactive approach to getting things done. This salary range may cover multiple career levels at HealthEdge. Final compensation will be determined during the interview process and is based on a combination of factors including, but not limited to, your skills, experience, qualifications and education.
