This role is part of the global Total Rewards team and reports directly to the Equity Administration Senior Manager. The Senior Analyst supports the end-to-end administration of UL Solutions equity compensation programs, including long-term incentive awards, restricted stock releases, performance-based awards, employee stock purchase plan activities, controls, reconciliations, reporting, communications and ad hoc executive compensation initiatives. The role partners closely with Legal, Finance, Accounting, Payroll, HR, Procurement and external vendors to deliver accurate, timely and compliant equity administration while continuously improving processes through automation and responsible use of artificial intelligence.
- This role is based in Chicago and follows a hybrid work arrangement requiring three days per week in the office. Remote work may be considered for the right candidate.
Administer day-to-day activities for global equity compensation programs and the Employee Stock Purchase Plan, ensuring transactions are completed accurately and within required internal, SEC, IRS, payroll and plan deadlines.
Own equity event processing from preparation through completion, including annual and off-cycle long-term incentive grants, new award processing, restricted stock vestings and releases, performance award activity and releases, stock option or stock appreciation right exercises, cancellations, forfeitures, terminations, ESPP purchases and other equity transactions.
Validate award, vesting, performance, payroll, tax and participant data before processing; identify discrepancies and coordinate timely resolution with internal stakeholders and external administrators.
Prepare Legal with accurate and complete equity transaction information needed for securities filings and related disclosure requirements, and coordinate with Legal to support timely Form 4 and other applicable filings.
Partner with Finance to prepare, review and align monthly and quarterly equity reconciliations, resolve variances and support accurate financial reporting, stock-based compensation accounting and period-end close activities.
Prepare quarterly SOX control reconciliations and supporting documentation for review and approval. Support internal and external audits, quarterly reviews and year-end audits, ensuring complete and accurate evidence and adherence to equity compensation controls.
Maintain and validate Fidelity Stock Plan Services data, including payroll and HR integration data, participant records, award information and other system data required for accurate plan administration and reporting.
Use artificial intelligence, automation and advanced data tools to improve reconciliations, strengthen process readiness, reduce manual effort and operational risk, and enhance the accuracy, efficiency and scalability of equity administration processes. Ensure improvements are appropriately documented, reviewed and aligned with company controls and data requirements.
Develop, maintain and enhance process documentation, controls, checklists and readiness materials to support consistent execution, business continuity and audit readiness.
Coordinate procurement requests, purchase orders, contract-related administrative requirements and invoice processing for the vendors used by the Equity Administration and Executive Compensation teams. Partner with Procurement, Accounts Payable, Finance and vendors to resolve issues and support accurate and timely payment.
Assist with employee education, communications and change-management materials related to equity compensation and ESPP. Respond to participant questions, research issues and coordinate resolutions within established service expectations.
Support the annual CD&A and proxy statement process by compiling, validating and reconciling equity and executive compensation data, coordinating inputs and supporting the team through review cycles and filing readiness.
Provide support to the Director, Executive Compensation and collaborate across Equity Administration and Executive Compensation on annual programs, executive and director equity activities, special awards, disclosure support and other priorities as needed.
Partner with Legal, Finance, Accounting, Payroll, HR, Tax, Procurement and external vendors to support compliance with securities and tax laws, plan requirements, disclosure obligations and global payroll reporting.
Monitor industry developments, regulatory changes, market practices and emerging technology relevant to equity administration and recommend practical improvements.
Support ad hoc projects and perform other duties as needed to meet Equity Administration, Executive Compensation and broader Total Rewards priorities.
Bachelor's degree in Finance, Business, Accounting, Human Resources or a related field.
Minimum of five years of experience in an analytical, financial reporting, SOX audit or similar role within a public company environment.
Minimum of three years of hands-on equity compensation administration experience, including experience supporting equity grants, vestings and releases, performance-based awards, reconciliations and employee stock purchase plans.
Experience using an equity administration platform, preferably Fidelity Stock Plan Services, and working with HR and/or payroll data integrations.
Strong understanding of equity administration controls, reconciliation practices, public company reporting requirements and cross-functional dependencies among Legal, Finance, Accounting, Payroll, HR and Tax.
Advanced proficiency in Microsoft Excel, including pivot tables, lookups, formulas, data validation and analysis of complex data sets. Proficiency with PowerPoint, Word, Outlook, CoPilot and related Microsoft 365 tools.
Experience identifying and implementing process improvements through automation, artificial intelligence or other technology solutions, with appropriate attention to controls, confidentiality, documentation and data accuracy.
Excellent attention to detail, judgment and accuracy, with the ability to manage sensitive information, complex transactions and competing deadlines in a fast-paced environment.
Strong written and verbal communication skills, including the ability to translate technical equity concepts into clear employee, leadership and stakeholder communications.
Excellent organizational and project-management skills, with the ability to work independently, collaborate across functions, prioritize work, follow through and meet critical deadlines.
Equity Compensation Associate (ECA) designation or higher preferred.

Total Rewards: We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $94,000 to $140,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 10% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday and personal days (totaling 12 days) and sick time off (72 hours).
