Senior Legal Advisor, UAE

We are looking for a Senior Legal Advisor\Legal Generalist with solid hands-on experience in UAE corporate and real estate law. You will provide legal support across the Smarter Group’s UAE and international operations, working closely with business units, external counsel and local authorities.

Responsibilities:

• Legal support of business in UAE and foreign jurisdictions, corporate governance and general legal matters

• Coordination of external legal counsel

• UAE company incorporation and ongoing legal support

• UAE real estate transactions and construction/renovation projects

• International expansion and cross-border structuring

• Legal support to business units

• Contract drafting, review and negotiation

• International legal risk management

• UAE regulatory matters, including DMCC/DIFC and other regimes

• Digital assets / financial markets (preferred)

• General legal function development

What do we expect from you in the first 90 Days?

• Understand the Group’s business and legal structure

• Take ownership of key UAE legal matters

• Establish effective cooperation with external counsel and business units

• Support priority real estate and corporate projects

• Identify key legal risks, and implement practical improvements to legal processes and contract management

• 5+ years of relevant experience as a Legal Advisor, Corporate & Real Estate Counsel, or Legal Consultant, with strong expertise in UAE corporate and real estate law

• Solid international legal experience

• Strong contract drafting, review, and negotiation skills

• Experience working with UAE authorities, regulators, and/or free-zone authorities

• Ability to assess legal and commercial risks and provide practical, business-oriented advice

• Strong legal research, analytical, and problem-solving skills

• Ability to work independently, take ownership of matters, and manage multiple priorities

• Professional/fluent level of English

• Ukrainian and Russian are a plus

Would be a plus:

• Familiarity with digital asset frameworks, cryptocurrency regulation including MiCA and MiFID II, financial instruments, derivatives, and tokenisation models

• Practical background with DMCC and DIFC legal environments

• International corporate structuring and M&A (Mergers & Acquisitions) transactions

• Corporate tax considerations

• IT and technology sector expertise
