JOB DESCRIPTION
Growth Capital is a leading tech investment bank in the European venture capital ecosystem, with offices in Milan, Madrid and London, a ~90% deal success rate and over €350M raised for its clients since 2019.
For our Milan office, we are looking for a highly motivated Junior Legal Counsel who will provide comprehensive legal support across all aspects of the business, focusing on investment agreements, corporate governance, M&A and fundraising transactions for our scale-up clients. You will also work closely with the Growth Engine and A-Road teams, supporting the negotiation and management of legal matters related to portfolio companies. Your role, supervised by our Legal Counsel, will involve close collaboration with senior team members to ensure legal compliance and the seamless execution of transactions.
You will stay updated on legal trends, market development and sector regulations. You will also contribute to industry best practices within the venture capital ecosystem.
Expected start date: January 2027.
KEY RESPONSIBILITIES
With a young and dynamic team (have a look at our smart working week pictures on LinkedIn and on the website!), the Junior Legal Counsel will be involved in a wide range of legal activities, including:
– 360° Legal Support for Growth Capital: drafting, reviewing and negotiating a broad spectrum of agreements; maintaining well-organized, compliant and up-to-date legal documentation; managing and monitoring the existing contractual positions; providing ad hoc legal support on various business matters; handling corporate secretarial matters; and assisting with compliance and regulatory requirements
– Corporate & Portfolio Support for Growth Engine: providing ongoing legal support to the VC holding and its 45+ portfolio companies — corporate governance, shareholders’ agreement management, cap-table and investor-side reporting (https://www.growthengine.it/)
– Transaction Support for Growth Engine & A-Road: supporting the drafting, review and negotiation of investment agreements and other legal documents related to extraordinary financial transactions for Growth Engine and A-Road (www.a-road.com), the leading Series A accelerator in Italy
– Legal Assistance for Scaleups: assisting on key client projects, with a focus on corporate governance and extraordinary M&A and fundraising transactions
– Contributing to VC Best Practices: staying informed on legal and market developments in venture capital and financial operations while contributing to the development of VC best practices within the ecosystem.
REQUIREMENTS
– Law degree
– At least 12 months of relevant legal working experience, including a traineeship, preferably gained in a law firm of primary standing active in venture capital, M&A and corporate law
– Understanding of corporate law, investment agreements and corporate governance
– Excellent familiarity with the use of the Office package (Excel, Word, PowerPoint) and AI tools
– Significant study or work experience abroad
– Outstanding educational track record
– English and Italian: fluent
– Spanish or French is a plus
– Bar admission in one of the following jurisdictions Italy, Spain, France or UK is a plus.

SELECTION PROCESS
· Screening
- Apply via LinkedIn sending your CV including your educational track record, specifying your graduation grade;
- Only CVs that meet the requirements detailed in the announcement will be considered;
- Those selected for the second round will be asked to submit a short video in English of up to 90 seconds, and only candidates who send the video will be considered for the interviews phase.
· Interviews
- 2 introductory interviews with the Legal Counsel and another senior member of our team to assess personal fit with Growth Capital;
- Final round with 3 or 4 interviews by our senior team, including a case study, aimed at the assessment of the candidate's skills and growth potential to successfully integrate him/her into the team.
