Technical Due Diligence Subject Matter Expert
Location: Remote – EU-based candidates preferred
Languages: Spanish, Hungarian, or French (fluency in at least one required)
Job Description
We are seeking an experienced, hands-on Technical Due Diligence Subject Matter Expert with fluency in French, Finnish, Hungarian, or German (written and verbal) to personally inspect and evaluate the architecture, code, and technical roadmaps of target companies during investment and acquisition processes. This is not a management-level advisory role — the client is specifically looking for someone who can get into the technical details themselves, rather than relying on self-reported management summaries, to uncover risks that wouldn't otherwise surface. The ideal candidate combines deep, current engineering judgment with the ability to translate technical findings into quantified business and investment impact.
Key Responsibilities
Hands-On Technical Investigation:
Personally inspect codebases, system architecture, infrastructure, and technical roadmaps to directly assess engineering quality — not solely through management interviews or self-reported documentation.
Engineering Judgment & Risk Identification:
Independently distinguish sound architecture from weak or fragile architecture, and identify hidden risks such as undisclosed systems, accumulated technical debt, unrealistic roadmaps, and structural weaknesses that may not be visible at a management level.
Risk Assessment & Reporting:
Provide a structured evaluation of technical debt, security gaps, operational risks, business interruption risks, and talent gaps, grounded in direct technical review.
Business/Investment Impact Quantification:
Translate technical findings into quantified business and investment impact — for example, identifying a specific technical issue that materially affects valuation — to directly inform deal decisions.
Validation & Assumption Testing:
Validate findings against business assumptions and provide recommendations on critical areas requiring attention.
Findings Categorization:
Document and classify findings into Deal Blockers, Material Findings, and Non-Material Findings with clear, evidence-based justifications.
Comprehensive Documentation:
Produce detailed TDD reports covering product, people, technology, and processes, giving a complete, technically grounded overview of the target company's technical landscape.
Process Improvement:
Recommend best practices to enhance the efficiency and rigor of the due diligence process.
Stakeholder Communication:
Present findings and recommendations to investors, executives, and decision-makers clearly and actionably, including the business/financial implications of technical findings.
Key Qualifications
- 15+ years of hands-on technology experience, with a track record of remaining personally close to code, architecture, and implementation details (not purely a management or oversight background).
- Proven track record conducting hands-on technical due diligence for acquisitions, investments, or technology assessments — including direct code and architecture review, not just management-level evaluation.
- Deep expertise in software architecture, cloud infrastructure, DevOps, cybersecurity, and software development lifecycle (SDLC).
- Strong, current engineering judgment — demonstrated ability to independently evaluate architecture quality without relying on management reports.
- Strong understanding of technical debt, scalability challenges, and operational risks, with the ability to quantify their business and investment impact.
- Experience with modern development stacks and cloud platforms (AWS, Azure, GCP).
- Exceptional analytical and documentation skills, with experience writing due diligence reports that connect technical findings to financial/valuation outcomes.
- Strong ability to communicate complex technical findings to non-technical stakeholders.
- Fluency (written and verbal) in at least one of the following languages required: French, Finnish, Hungarian, or German.
Preferred Qualifications
- Experience working with Private Equity, Venture Capital, or M&A teams.
- Knowledge of regulatory compliance frameworks such as GDPR, ISO 27001, and SOC 2.
- Experience leading technical integrations post-acquisition.
- Previous experience in B2B SaaS, FinTech, Healthcare, or high-growth technology environments.
- A specific, demonstrable example of identifying a technical issue that led to a material valuation adjustment in a prior deal.
