Job Title: Legal Specialist / Legal Counsel (U.S. & EU Bond Structures & Regulatory Compliance)
Location: Remote (Based in Finland or Estonia)

Compensation:€2,500 – €4,000 / month (gross or B2B fee, negotiable based on experience)
This position is being recruited through Pioneerlands on behalf of our group entity, Pioneer Treasury OÜ.
Pioneer Treasury OÜ is an early-stage financial services entity based in Tallinn, Estonia, established to structure and manage structured bond products as a service for Pioneer Alpha I12 LLC. Our broader group was founded by economist and bond manager Johannes Bhakdi, whose investment and educational platforms reach over 100,000 followers across social media.
We are currently preparing and finalizing an upcoming 3-year term bond product on behalf of Pioneer Alpha I12 LLC. We are seeking a practical, detail-oriented Legal Specialist / Legal Counsel based in Finland or Estonia to help us review bond terms, audit our corporate framework, and ensure our legal setup is fully compliant across EU and U.S. jurisdictions.
You will serve as our primary internal legal resource, responsible for drafting, reviewing, refining, and aligning legal, contractual, and regulatory documentation from scratch.
- Legal Drafting & Documentation: Draft and review bond prospectuses, offering memorandums, term sheets, investor contracts, and intercompany agreements for client bond structures.
- Bond Terms & Product Legal Review: Analyze and refine existing legal templates, verifying that provisions are internally consistent and aligned with cross-border market standards.
- Cross-Border Market Alignment: Evaluate regulatory considerations and ensure drafted documentation complies across European and U.S. frameworks (e.g., EU Prospectus exemptions, MiFID II considerations, and U.S. investor/SDIRA requirements).
- Corporate Setup & Intercompany Audit: Draft and update operational contracts, corporate governance documents, and intercompany arrangements (between U.S. and Estonian entities) to ensure a sound legal architecture.
- Contract Administration & Compliance: Draft commercial vendor agreements, contractor contracts, and non-disclosure agreements, while researching regulatory questions and liaising with external counsel when specialized filings are required.
- Drafting Expertise: Demonstrated experience drafting legal contracts and financial documentation independently in English with high precision and clarity.
- Legal Background: Degree in Law (LL.B., LL.M., or equivalent legal training/experience) in Finland, Estonia, the U.S., or international jurisdictions.
- Bond & Financial Instrument Knowledge: Sound understanding of financial instruments, debt structures, and general corporate law.
- U.S. & EU Perspective: Familiarity with both European and U.S. financial/regulatory concepts applicable to debt products.
- Practical & Detail-Oriented: Ability to review complex legal terms, spot discrepancies, and propose straightforward, actionable fixes.
- Language Skills: Fluent spoken and written English (essential). Working knowledge of Finnish or Estonian is a strong plus.
- Competitive Compensation: €2,500 – €4,000 / month (full-time, experience-based). Part-time or retainer arrangements are fully negotiable.
