Corporate Governance & Company Secretarial Specialist

1. About the Role
ACE Money Transfer is looking for an organised, detail-driven Corporate Governance & Company Secretarial Specialist to support our Legal Manager and Company Secretary in managing corporate governance, statutory compliance and board activities across the Group.
You will handle the documentation, tracking and coordination that keep governance processes running smoothly. That includes supporting board and committee meetings, helping with statutory filings and registers, tracking compliance deadlines and maintaining governance and policy records. You will work with Ireland and UK governance requirements and coordinate with internal departments, auditors and regulators.
The role is central to keeping ACE well governed, compliant and audit-ready. It suits a governance professional who enjoys structure, accuracy and seeing every action through to completion.
2. Responsibilities
Board & Committee Support
- Help schedule board and committee meetings and coordinate attendance.
- Support the preparation and formatting of board packs.
- Compile and circulate documents within agreed timelines.
- Take draft minutes during meetings and help format the final versions.
- Maintain meeting records, attendance logs and action trackers.
Governance & Compliance Support
- Maintain governance calendars for Ireland and the UK, where applicable.
- Track compliance deadlines and send reminders to relevant stakeholders.
- Help prepare governance reports and updates.
- Support the coordination of board evaluations and governance reviews.
Statutory Filings & Corporate Records
- Help prepare and submit statutory filings, such as Companies Registration Office (CRO) filings in Ireland.
- Maintain and update statutory registers, including directors, shareholders and others.
- Keep corporate records accurate, organised and up to date.
- Support the upkeep of document repositories and filing systems.
Legal & Policy Documentation
- Draft basic corporate documents, including board resolutions, meeting minutes, and standard forms and templates.
- Track document status and follow up on pending approvals.
- Maintain logs of legal and governance documents.
- Help the Legal Manager and Company Secretary coordinate the drafting and review of corporate policies.
- Keep central records of all policies at Group and entity level.
- Track policy renewals, approvals and adoptions, making sure updates are timely and versions are controlled.
Risk & Compliance Tracking
- Maintain governance trackers, such as compliance logs and risk registers.
- Follow up with internal stakeholders on outstanding actions.
- Escalate overdue items to the Company Secretary when needed.
Stakeholder Coordination
- Coordinate with internal departments to collect governance inputs.
- Log and track queries from auditors, regulators and internal teams.
- Make sure responses are followed up and properly documented.
Reporting & Administration
- Help prepare periodic governance and compliance reports.
- Keep reporting schedules aligned with board timelines.
- Make sure all documentation is accurate and complete.
Process & Documentation Management
- Maintain standard templates for governance documents.
- Keep documents properly organised and under version control.
- Support continuous improvement of administrative processes.
- Help the Company Secretary maintain custody of all governance and policy documents, keeping records accurate and accessible.
3. Requirements
Qualifications & Experience
- Bachelor's degree in Business Administration, Law, Finance or a related field.
- Working towards, or committed to pursuing, a Company Secretary or governance qualification is desirable, for example ICSA / CGI, ICSP or equivalent.
- 3–4 years of experience in corporate governance, company secretarial support, legal or compliance roles.
- Experience in a structured, deadline-driven corporate environment.
- Proven experience handling documentation and trackers and coordinating multiple tasks at once.
- Working understanding of corporate governance and compliance processes. Exposure to Irish or UK company law requirements is an advantage.
- Strong proficiency in Microsoft Office (Word, Excel, PowerPoint, Outlook).
- Strong document formatting and professional writing skills.
- Experience managing trackers, logs and calendars with a high level of accuracy.
- Strong document management and record-keeping skills.
