iCOUNTER is redefining how enterprises defend against cyber threats originating across their extended business ecosystems.

Our AI-native Counter Threat Operating System (CTOS™) combines threat intelligence, risk determination, and operational response to help organizations identify and act on threats involving third parties, subsidiaries, portfolio companies, and interconnected business relationships.

We believe enterprises need to move beyond traditional risk assessments and static security scores toward intelligence-led, proactive defense.

We’re building a new category of cybersecurity, and we’re looking for exceptional talent to help us bring it to market.

Job Overview

We are seeking a highly motivated, operationally minded Associate General Counsel (AGC) to join our growing legal team and report directly to the Chief Legal Officer (CLO). The AGC will partner closely with teams across the business, including Sales, Product, Engineering, Security, Finance, Operations, and executive leadership, to help the company navigate complex commercial, technology, data, privacy, cybersecurity, and corporate matters.

The ideal candidate brings strong legal judgment, excellent communication skills, and a practical, solutions-oriented approach to risk. You are comfortable operating with autonomy, moving quickly in a high-growth environment, and translating complex legal issues into clear recommendations that enable the business to make informed decisions.

What You Will Do

Commercial & Business Legal

  • Partner with Sales and business development teams to facilitate complex enterprise transactions while appropriately managing legal and commercial risk.

  • Develop and maintain contract playbooks, templates, fallback positions, and processes that improve contracting efficiency and consistency.

  • Provide practical, business-oriented guidance on contractual risk, liability, indemnification, intellectual property, confidentiality, data use, security, and other commercial issues.

Technology, Data & Cybersecurity

  • Advises on legal issues related to technology, data, cybersecurity, privacy, and emerging technologies.

  • Partner with internal stakeholders to identify and appropriately manage legal and regulatory risks associated with the company’s products and services.

  • Support the development and implementation of scalable policies, processes, and legal frameworks related to data and technology.

  • Stay current on emerging legal and regulatory developments affecting cybersecurity, technology, data, AI, privacy, and cyber risk intelligence.

Corporate & Strategic Matters

  • Support the CLO and executive leadership on corporate, strategic, and other complex legal matters.

  • Assist with corporate governance, strategic transactions, investments, M&A, financing activities, and other corporate initiatives as needed.

  • Support board, investor, and executive-level matters as appropriate.

  • Coordinate with and manage outside counsel on specialized legal matters.

  • Help evaluate when matters should be handled internally versus escalated to outside counsel.

Legal Operations & Risk Management

  • Help build and scale legal processes appropriate for a rapidly growing organization.

  • Maintain contract lifecycle management system.

  • Identify opportunities to improve legal workflows, contracting processes, and cross-functional collaboration.

  • Develop practical frameworks for identifying, prioritizing, and mitigating legal and business risk.

  • Maintain a high level of organization and accountability across assigned legal matters.

What You Will Need

  • J.D. from an ABA-accredited law school

  • Active license and good standing in at least one U.S. jurisdiction

  • 7–10+ years of relevant legal experience, preferably combination of law firm and meaningful in-house experience

  • Demonstrated ability to independently manage complex legal matters from issue identification through resolution

  • Strong understanding of commercial, technology, data, privacy, cybersecurity, and/or technology-related legal issues

  • Excellent legal judgment with the ability to distinguish material risk from manageable risk

  • Strong written and verbal communication skills, including the ability to explain complex legal concepts clearly to non-legal audiences

  • A practical, solutions-oriented approach to legal risk

  • Strong organizational skills and the ability to prioritize multiple high-impact matters in a fast-paced environment

Preferred Qualifications

  • Experience with privacy, data protection, information security, emerging technology or cybersecurity matters

  • Experience in a high-growth, venture-backed, or private equity-backed company

  • Experience with M&A, strategic transactions, financing, or corporate governance

  • Prior law firm experience at a nationally recognized or Am Law firm
